Role Overview:
The Senior Manager / AGM - Company Secretary will serve as a key governance leader based in Ahmedabad, ensuring the organization adheres to the highest standards of corporate compliance and legal integrity. This role involves managing complex secretarial functions, board-level interactions, and regulatory filings while acting as a strategic advisor to senior management. You will work closely with the leadership team, legal counsel, and external auditors to navigate the intricate regulatory landscape of the pharmaceutical industry, directly impacting the company’s corporate governance framework and long-term business sustainability.
Key Responsibilities:
- Oversee end-to-end corporate secretarial functions to ensure full compliance with the Companies Act and other applicable corporate laws.
- Manage the preparation and execution of board meetings, committee meetings, and general meetings, including drafting agendas, minutes, and statutory registers.
- Lead statutory audits and internal compliance reviews to mitigate legal risks and ensure transparency in corporate reporting.
- Facilitate complex M&A transactions, corporate restructuring, and due diligence processes by providing expert legal and secretarial oversight.
- Coordinate with regulatory bodies and government agencies to ensure timely filings and adherence to evolving pharmaceutical sector regulations.
- Advise the management team on corporate governance best practices to support ethical decision-making and organizational growth.
Required Skillset:
- Possess deep expertise in corporate law, secretarial standards, and regulatory compliance, specifically within the manufacturing or pharmaceutical sector.
- Demonstrate a proven ability to manage high-stakes M&A activities and complex due diligence projects with precision.
- Exhibit strong interpersonal skills to effectively communicate with board members, senior stakeholders, and external regulatory authorities.
- Maintain a high level of professional judgment and ethical standards when handling sensitive corporate information.
- Hold a qualified Company Secretary (CS) certification with 10 to 15 years of relevant experience in a corporate environment.
- Show adaptability to an on-site work environment in Ahmedabad, maintaining a proactive approach to evolving legal requirements.
