Job Summary:
The CFO will lead the Company's overall financial strategy, financial planning, accounting, treasury, taxation, risk management, compliance, investor relations and corporate finance activities. The CFO will play a key leadership role in the Company's proposed IPO, listing and post-IPO financial governance, working closely with the Board, CEO, Company Secretary, Merchant Bankers, Auditors, Legal Advisors, SEBI and Stock Exchanges.
The ideal candidate should have strong experience in large-scale manufacturing, preferably Iron & Steel or Metals, with proven exposure to corporate finance, project finance, capital markets and IPO processes.
Key Responsibilities:
1. Strategic Finance & Business Planning:
- Develop and execute financial strategies aligned with business and growth objectives.
- Lead budgeting, forecasting, financial modelling and performance management.
- Optimize capital structure, working capital, cash flow and capital allocation.
- Evaluate capex, M&A, JV and other strategic investment opportunities.
- Manage relationships with banks, financial institutions, investors and rating agencies.
2. Financial Management & Reporting:
- Oversee accounting, financial reporting, MIS, treasury and taxation.
- Ensure timely and accurate financial statements and compliance with Ind AS, Companies Act, SEBI and other applicable regulations.
- Drive cost optimization, profitability improvement and working-capital efficiency.
- Strengthen internal controls, audit processes and financial governance.
3. IPO - Pre-IPO Responsibilities:
- Lead the Company's IPO financial readiness and preparation.
- Coordinate financial due diligence with Merchant Bankers, Auditors, Legal Advisors and other IPO consultants.
- Ensure financial records, tax matters, related-party transactions, contingent liabilities and other financial issues are properly reviewed and resolved.
- Ensure preparation of restated financial statements and IPO-related financial disclosures.
- Provide financial inputs for DRHP/RHP/Prospectus, business plans, projections, KPIs and valuation.
- Strengthen ERP, MIS, internal controls and reporting systems to meet listed-company requirements.
- Support optimization of capital structure and IPO issue strategy.
4. IPO - During IPO & Listing:
- Act as the key finance coordinator with Merchant Bankers, Auditors, Legal Advisors, SEBI, Stock Exchanges and other intermediaries.
- Validate financial information and disclosures included in DRHP/RHP/Prospectus.
- Support responses to regulatory queries and due-diligence requirements.
- Support IPO valuation, investor presentations, roadshows and management meetings.
- Provide financial inputs for pricing and issue-related decisions.
- Ensure financial and regulatory requirements are completed for successful listing.
5. Post-IPO Responsibilities:
- Establish robust quarterly, annual and listed-company financial reporting systems.
- Ensure compliance with SEBI LODR, Stock Exchange and other regulatory requirements.
- Lead Investor Relations, earnings presentations, analyst/investor interactions and financial communication.
- Monitor and ensure proper utilization of IPO proceeds as per the stated objects.
- Support Audit Committee and Board on financial, risk and governance matters.
- Manage future fundraising, debt/equity transactions and capital allocation.
- Drive long-term shareholder value and maintain investor confidence.
6. Risk, Compliance & Governance:
- Identify and manage financial, commodity, forex, interest-rate and liquidity risks.
- Ensure strong internal financial controls, internal audit and fraud-prevention mechanisms.
- Oversee taxation and statutory compliances.
- Strengthen corporate governance and ESG-related financial reporting.
7. Leadership:
- Lead Finance, Accounts, Treasury, Taxation, Internal Audit and Investor Relations teams.
- Build a high-performing, professionally managed finance function capable of supporting a listed company.
- Act as a strategic financial advisor to the CEO, Board and senior management.
Qualifications:
- CA - Mandatory.
- CS/CFA/ACCA/MBA Finance would be an advantage.
- Strong knowledge of Ind AS, Companies Act, SEBI regulations, LODR, taxation and capital markets.
Experience:
- 15-20+ years of finance experience, including 7-10 years in senior leadership/CFO-level roles.
- Experience in Iron & Steel, Metals, Cement or other large-scale manufacturing preferred.
- Strong experience in corporate finance, project finance, treasury, taxation and working capital.
- Proven Pre-IPO/IPO experience is highly preferred, including financial due diligence, DRHP/RHP, Merchant Banker coordination and listing.
- Experience with a successful IPO and post-listing compliance/reporting would be a significant advantage.
