About the Role:

The primary responsibility of the role will be assisting the Company Secretary in managing all compliances of the Companies Act, RBI, FEMA, Banking regulations, IPO process and listing compliances for Payments Bank, administering secretarial matters and maintaining the highest levels of corporate governance, compliances under FEMA, RBI guidelines or any other matter that may come up from time to time.

Secretarial functions:

- Ensuring end-to-end statutory compliances of Corporate laws, RBI, FEMA, Banking Laws and SEBI laws.

- Identifying, drafting and finalizing agenda, notices for board, committee(s) and shareholders meetings.

- Finalizing the minutes of the Board/ Committees/shareholders/Management Committees and co ordinating with relevant stakeholders for same.

- Managing and coordinating with Internal auditors, statutory auditors, secretarial auditors, RTA etc. on various audits, certifications and other day to day matters.

- Supply of various information to internal and external customers e.g. operational resolutions, authorizations, directors' details, Related Parties, capital history, corporate restructuring history.

- Ensure necessary filings with RBI, ROC/MCA, RBI and/or any other applicable regulator.

- Co-ordinating with regulatory bodies including ROC, MCA, NSDL, CDSL, Stock exchanges etc.

- Preparing/drafting, implementing and ensuring compliance of various policies, SOP's, checklists and governance practices;

- Liaise closely with the legal/finance/business teams at the Company level and group level, and provide support in key transactions.

- Listing/IPO process experience and/or working knowledge of compliances of securities laws.

The ideal candidate:

- Qualified Company Secretary with PQE with banks or financial sector

- Excellent written and verbal communication skills

- Flexible and able to prioritize and manage multiple tasks under pressing timelines

- Self-driven, result-oriented with a positive outlook and a clear focus on high quality delivery

- Should possess excellent stakeholder management skills, team handling and an ability to work under pressure
