Job Title : Company Secretary Department : Finance & Compliance Location : Mumbai, Maharashtra Experience Required : 2-3 Years Travel : Quarterly or as required (Bangalore and locations across Mumbai) About the Role - We are seeking a qualified and detail-oriented Company Secretary (CS) to manage corporate governance, regulatory compliance, and statutory requirements under the Companies Act and FEMA. The role also includes supporting the Finance Manager in areas such as banking, management accounting, statutory audits, and other financial compliance activities. - The ideal candidate will have strong knowledge of corporate laws, excellent communication skills, and the ability to work effectively in a fast-paced environment. Key Responsibilities Corporate Governance & Secretarial Compliance: - Conduct Board Meetings, Annual General Meetings (AGM), Extraordinary General Meetings (EGM), and Committee Meetings. - Draft and issue notices, agendas, resolutions, and accurate minutes for all meetings. - Maintain and update all Statutory Registers in compliance with the Companies Act. - Ensure timely and error-free annual filings and disclosures with the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA). - Verify, sign, and approve statutory financial statements and other secretarial documents as required. - Ensure adherence to Companies Act, FEMA, and other applicable regulatory guidelines. Regulatory & FEMA Compliance: - Track changes, amendments, and notifications under Companies Act, FEMA, and RBI regulations. - Evaluate the impact of regulatory changes and advise management promptly. - Ensure correct and timely filings with the Reserve Bank of India (RBI). - Support the implementation of compliance changes across the organization. Support to Finance & Audit Functions: - Work closely with the Finance Manager on management accounting, statutory audit processes, and internal financial compliance. - Assist in banking activities including documentation, coordination, and communication with financial institutions. - Review relevant agreements, contracts, and engagement letters for compliance and accuracy. - Coordinate with the Head Office (GVA) Legal Team on legal and compliance matters. Documentation & Reporting: - Prepare compliance reports, statutory documentation, and audit support materials. - Maintain meticulous records for ROC/MCA/RBI filings and ensure audit-ready documentation. - Ensure error-free and timely submission of all statutory filings and returns. Qualifications & Experience: - Qualified Company Secretary with a valid Certificate of Membership from ICSI. - 2-3 years of relevant experience in corporate secretarial and compliance roles, preferably in a multinational organization (MNC). - Strong understanding of the Companies Act, FEMA, and RBI regulations. Technical Skills - Excellent spoken and written English; knowledge of additional languages is an advantage. - Proficiency in Microsoft Excel; working knowledge of Microsoft Dynamics Navision is preferred. - Ability to handle high-pressure deadlines and dynamic work environments. - Strong organizational, analytical, and documentation skills.
