Job Summary:

The General Manager M&A & Corporate Development will lead the organization's inorganic growth agenda by identifying, evaluating, and executing acquisitions, mergers, joint ventures, strategic partnerships, and investments. The role is responsible for managing the complete transaction lifecyclefrom opportunity identification and due diligence through transaction execution and post-merger integrationwhile supporting the organization's long-term growth strategy and value creation objectives.

Key Responsibilities:

M&A Strategy & Corporate Development:

- Develop and execute the organization's M&A and corporate development strategy in line with the enterprise strategy set by the Corporate Strategy & Planning function and long-term growth plans.

- Identify, evaluate, and build a robust pipeline of acquisition, merger, joint venture, strategic alliance, and investment opportunities across hospitals, diagnostic centres, clinics, and allied healthcare businesses.

- Drive inorganic growth initiatives by assessing strategic fit, commercial viability, financial returns, operational feasibility, and integration potential.

- Evaluate expansion opportunities across new geographies, specialties, and healthcare segments through acquisitions, partnerships, and strategic investments.

Deal Evaluation & Financial Analysis:

- Lead financial modelling, business valuation, investment analysis, and feasibility assessments using appropriate valuation methodologies.

- Evaluate target companies based on financial performance, operational capabilities, market positioning, clinical strengths, growth potential, and strategic alignment.

- Develop investment memoranda, business cases, and Board presentations to support investment decisions.

Due Diligence & Transaction Execution:

- Lead end-to-end due diligence covering financial, commercial, legal, tax, operational, regulatory, compliance, and HR aspects.

- Coordinate with internal stakeholders and external advisors, including investment bankers, legal counsel, consultants, auditors, and valuation experts.

- Structure and negotiate transactions, including valuation, commercial terms, definitive agreements, and closing conditions.

- Manage the complete transaction lifecycle from opportunity identification through execution while ensuring compliance with statutory, regulatory, and corporate governance requirements.

Post-Merger Integration:

- Develop and oversee post-merger integration plans to ensure seamless operational integration and realization of planned synergies.

- Track integration milestones, financial performance, and operational outcomes against approved business cases.

- Partner with cross-functional teams to drive integration, change management, and value creation.

Deal Sourcing & Market Intelligence:

- Conduct market assessments, competitive benchmarking, and industry analysis to identify emerging growth opportunities.

- Monitor healthcare industry trends, consolidation opportunities, regulatory developments, and competitive dynamics.

- Provide inorganic growth inputs and investment recommendations to the enterprise strategic planning process led by the Corporate Strategy & Planning function.

Stakeholder Management:

- Build and manage relationships with promoters, hospital owners, investors, financial institutions, consultants, and regulatory authorities.

- Collaborate closely with Finance, Legal, Operations, Clinical, and Business Development teams to drive successful transactions, and partner with the Corporate Strategy & Planning function to ensure inorganic opportunities align with overall enterprise strategy, while retaining ownership of end-to-end deal sourcing, due diligence, negotiation, and execution.

- Present investment recommendations, transaction updates, and strategic proposals to senior leadership, Investment Committees, and the Board.

Required Skills & Competencies:

- Strong expertise in financial modelling, valuation, investment analysis, and corporate finance.

- Proven experience in M&A transactions, deal structuring, due diligence, negotiation, and transaction execution.

- Experience in post-merger integration and synergy realization.

- Strong understanding of hospital business models, healthcare industry dynamics, and regulatory frameworks.

- Ability to evaluate strategic partnerships, joint ventures, and inorganic growth opportunities.

- Excellent analytical, commercial, negotiation, and stakeholder management skills.

- Strong communication and executive presentation skills with experience presenting to senior leadership and Boards.

- Advanced proficiency in Microsoft Excel, PowerPoint, and financial modelling tools.

Preferred Candidate Profile:

The ideal candidate should have experience in one or more of the following environments:

- Corporate Development or M&A function within a leading hospital or healthcare organization.

- Healthcare-focused Investment Banking or Transaction Advisory practice with significant exposure to hospital and healthcare transactions.

- Healthcare-focused Private Equity, Growth Equity, or Investment Management.

- Corporate Strategy or Corporate Finance roles with extensive healthcare M&A experience.

Candidates should demonstrate:

- Proven experience in leading end-to-end acquisitions, mergers, joint ventures, strategic alliances, or investments.

- Strong understanding of hospital operations, healthcare economics, valuation drivers, and regulatory requirements.

- Experience in evaluating and integrating healthcare assets, including hospitals, diagnostic centres, specialty clinics, or allied healthcare businesses.

- Exposure to Board-level presentations, investment committee discussions, and executive stakeholder management.

- Experience working with investment bankers, Big Four consulting firms, private equity investors, or large listed healthcare organizations will be highly preferred.

- Exposure to Greenfield and Brownfield hospital expansion projects will be an added advantage.

Key Performance Indicators (KPIs):

- Successful execution of acquisitions, joint ventures, strategic partnerships, and investments.

- Deal closure within approved timelines, budgets, and governance frameworks.

- Achievement of synergy realization, ROI, IRR, EBITDA, and value creation targets.

- Quality and accuracy of financial evaluations, valuation models, and investment recommendations.

- Successful post-merger integration and achievement of operational objectives.

- Contribution to the organization's inorganic growth, market expansion, and long-term strategic objectives.
