Role: Company Secretary professional

Key Responsibilities:

- Conduct and manage legal, secretarial, and regulatory due diligence activities in connection with capital market transactions and corporate actions.

- Assist in the preparation, review, and filing of Draft Red Herring Prospectus (DRHP) and other offer documents related to IPOs and fundraising activities.

- Coordinate with Legal Counsels, Book Running Lead Managers (BRLMs), Auditors, Registrars, and other intermediaries throughout the IPO and listing process.

- Liaise with Directors, Regulatory Authorities, Registrar of Companies (ROC), Stock Exchanges, and SEBI for statutory approvals, filings, and compliance requirements.

- Organize, convene, and manage Board Meetings, Committee Meetings, and General Meetings, including agenda preparation, minutes drafting, and action tracking.

- Maintain and update all statutory registers, records, minutes books, and corporate documentation as required under applicable laws.

- Supervise and manage corporate law compliances, ensuring adherence to the Companies Act, 2013, Secretarial Standards, and related regulations.

- Ensure compliance with SEBI Regulations, Listing Obligations and Disclosure Requirements (LODR), and other securities laws applicable to listed entities.

- Monitor and oversee compliance with RERA and other sector-specific regulatory requirements relevant to the business.

- Manage timely filing of statutory returns, disclosures, reports, and other regulatory submissions with relevant authorities.

- Advise management and the Board on corporate governance, regulatory developments, and compliance best practices.

- Support strategic corporate initiatives, restructuring activities, fundraising transactions, and other special projects from a secretarial and compliance perspective.
