Role Overview

The Vice President - Legal will lead the legal function for the organization, acting as a strategic advisor to the leadership team. The role will be responsible for managing legal, regulatory, contractual and compliance matters across domestic and international operations, with a strong focus on mining, infrastructure, EPC and project-based businesses.

Key Responsibilities

1. Legal Strategy & Leadership

- Lead and build a high-performing legal function aligned with business objectives

- Act as a trusted advisor to the Board, CXOs, and business leadership

- Drive legal risk mitigation strategies across all business verticals

2. Contracts & Commercial Legal

- Oversee drafting, negotiation, and execution of complex contracts including:

- Mining Development & Operations (MDO) agreements

- EPC and infrastructure contracts

- Joint venture, consortium and shareholder agreements

- Provide legal support for large-scale project bids and commercial negotiations

3. Regulatory & Compliance

- Ensure compliance with applicable laws including mining laws, environmental regulations, corporate laws and international regulations

- Interface with regulatory bodies and manage statutory approvals and licenses

- Develop and strengthen governance frameworks and compliance systems

4. Litigation & Dispute Resolution

- Manage high-stake litigation, arbitration and dispute resolution (domestic & international)

- Coordinate with external counsels and law firms

- Develop proactive dispute avoidance and resolution strategies

5. M&A, Investments & Structuring

- Lead legal aspects of mergers, acquisitions, divestments and strategic investments

- Structure cross-border transactions and partnerships

- Conduct due diligence and risk assessment

6. International Business Support

- Provide legal oversight for global operations and cross-border transactions

- Handle multi-jurisdictional legal and compliance matters

- Manage legal risks in emerging markets

7. Governance & Stakeholder Management

- Ensure adherence to corporate governance standards

- Work closely with internal stakeholders across business, finance and operations

- Represent the organization in external legal and regulatory forums

Candidate's Profile:

Education:

- LLB / LLM from a reputed institution (top-tier law schools preferred)

Experience:

- 15-22 years of relevant legal experience

- Strong exposure to mining, metals, infrastructure EPC or energy sectors

- Experience in both in-house and top-tier law firms preferred

Key Skills:

- Strong expertise in contracts, project law and regulatory frameworks

- Proven experience in handling large, complex, multi-jurisdictional transactions

- Strong understanding of environmental and mining regulations

- Excellent negotiation, stakeholder management and leadership skills

- Experience in managing large legal teams
