Job Description: Vice President - Legal (Corporate M&A & Investments)

Executive Summary:

We are seeking a high-caliber legal professional to join our executive leadership team as Vice President - Legal. This pivotal role requires a seasoned expert with a deep pedigree in Corporate M&A, Private Equity, and Debt/Equity Investment frameworks.

The ideal candidate will have transitioned from a stellar career at a top-tier law firm into a strategic in-house role, bringing a sophisticated understanding of complex deal structuring, regulatory compliance and risk mitigation.

Key Responsibilities

1. M&A and Strategic Transactions

- Lead the end-to-end legal lifecycle for domestic and cross-border M&A, divestitures, and joint ventures.

- Manage complex due diligence processes and identify potential deal-breakers or high-risk liabilities.

- Draft, review, and negotiate definitive agreements, including Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), and Business Transfer Agreements (BTA).

2. Debt & Equity Capital Markets

- Oversee legal aspects of capital raising, including private placements, structured finance, and venture debt.

- Collaborate with investment teams to structure instruments (CCDs, CCPS, NCDs) that optimize for both commercial intent and regulatory efficiency.

- Manage relationships with external counsel, investment banks, and trustees.

3. Governance & Regulatory Compliance

- Ensure all transactions comply with SEBI regulations, Companies Act, 2013, FEMA/RBI guidelines, and Competition Law.

- Provide strategic counsel to the Board of Directors on corporate governance matters and fiduciary duties.

- Stay ahead of evolving legislative changes in the Indian legal landscape that impact corporate investments.

4. Stakeholder Management & Leadership

- Act as a bridge between the investment team and the executive board to ensure legal risks are balanced with business objectives.

- Mentor and lead a high-performing team of legal professionals.

- Manage the legal budget and optimize the usage of external law firms.

Candidate Profile:

Education & Experience:

- LLB/LLM from a premier National Law University (NLU) or a top-tier international law school preferable.

- 15-20 years of post-qualification experience (PQE).

- Will help : Significant tenure at a top-tier Indian Law Firm (e.g., Cyril Amarchand Mangaldas, AZB & Partners, Shardul Amarchand Mangaldas, Khaitan & Co, or Trilegal) within their Corporate/M&A or Investment practices.

Technical Skills:

- Mastery of complex deal structuring and high-stakes negotiations.

- Profound understanding of the Insolvency and Bankruptcy Code (IBC) and corporate restructuring.

- Expertise in managing multifaceted disputes or litigation arising from M&A transactions.

Soft Skills:

- Strategic Gravitas: Ability to command respect at the Board level.

- Commercial Acumen: A "deal-maker" mindset that finds solutions rather than just identifying problems.
