About the Role:

We are looking for an experienced Vice President - Execution to lead end-to-end execution of IPO and Equity Capital Market (ECM) transactions. The candidate will be responsible for managing transaction execution, regulatory compliance, stakeholder coordination and ensuring timely closure of capital-market transactions.

Key Responsibilities:

- Lead end-to-end execution of IPO and ECM transactions from mandate to listing.

- Manage transaction documentation, regulatory processes and execution timelines.

- Ensure compliance with applicable SEBI regulations, Companies Act and stock-exchange requirements.

- Coordinate with SEBI, stock exchanges, legal counsels, auditors, registrars, bankers, brokers and other transaction stakeholders.

- Review and coordinate preparation of DRHP, RHP, Prospectus and other offer documents.

- Manage due diligence processes and coordinate with internal and external stakeholders.

- Support structuring and execution of IPO, FPO, QIP, Rights Issue, OFS and other capital-market transactions.

- Track regulatory observations and coordinate responses/clarifications.

- Manage transaction checklists, closing conditions and critical-path activities.

- Conduct transaction-related research, regulatory analysis and documentation review.

- Lead and mentor the execution team.

- Ensure transactions are completed within agreed timelines and regulatory requirements.

Candidate Requirements:

- 11-15 years of relevant Merchant Banking / Investment Banking / ECM execution experience.

- Strong experience in IPO execution and capital-market transactions.

- Strong knowledge of SEBI regulations and securities-market regulations.

- Experience managing transactions independently from mandate to listing/closure.

- Strong understanding of due diligence, offer documents and regulatory filings.

- Excellent stakeholder and transaction-management skills.

- Ability to manage multiple high-value transactions simultaneously.

- Strong communication, negotiation and analytical skills.

- Leadership experience in managing execution teams.

Preferred Qualification:

CA / CS / LLB / MBA Finance or equivalent qualification.
