Role: Group Company Secretary Experience: 10-15 years in company compliance, group entity governance, M&A, or ESG reporting Location: Chennai (Guindy) Job Description: Role & Responsibilities Governance & Board Support: - Facilitate Board & Committee meetings (set agendas, conduct meetings, take minutes). - Prepare Directors reports, Governance & ESG disclosures. - Advise the board on secretarial standards and governance best practices. Regulatory & Statutory Compliance: - Ensure compliance with the Companies Act, SEBI (if listed), ROC filings, and maintain statutory registers for all entities. - Coordinate secretarial audits and manage risk and insider-trading compliance. Corporate Actions & Entity Management: - Manage legal entity administration, shareholding changes, group restructurings, M&A, due diligence, and approvals under the Companies Act. Stakeholder & External Relations: - Liaise with auditors, legal advisors, regulatory bodies, RTA (Registrar & Transfer Agent), and shareholders. - Manage investor relations, grievance redressals, and communications. Team Leadership & Mentorship: - Build and lead a secretarial team, oversee training and process improvements, and act as central advisor to EDs and independent directors. Skills & Requirements: Professional Qualification: - Qualified Company Secretary (ICSI) or FCS. - Higher governance credentials like Chartered Governance Institute membership add value. Experience: - Minimum 10+ years of experience with exposure to company compliance, group governance, M&A, or ESG reporting. Skills & Competencies: - Deep knowledge of company law, SEBI/ROC compliance, and corporate governance. - Strong drafting, risk management, strategic advisory, and leadership skills. - Hands-on experience in board support and stakeholder engagement. - Familiarity with digital tools for statutory compliance and ESG/BRSR reporting.
