Role Overview:
We are seeking a detail-oriented and analytically strong professional to support securitisation and structured finance activities. The role involves execution of Direct Assignment (DA) and Pass-Through Certificate (PTC) transactions, coordination with internal and external stakeholders, and ensuring compliance with regulatory requirements.
Roles and Responsibilities:
1. Fund Raising & Deal Execution:
- Lead end-to-end fund raising / resource mobilization through securitisation (DA & PTC) from banks, financial institutions, and other market investors
- Structure transactions in line with ALM requirements and cost optimization objectives
- Prepare, review, and submit transaction proposals and term sheets
- Negotiate commercial terms including pricing, credit enhancement, and servicing arrangements etc.
- Ensure timely closure and execution of securitisation transactions
- Support supervision and oversight of co-lending portfolio
2. Direct Assignment (DA) Management:
- Drive DA transactions with a focus on maximizing sell-down, especially for LAP portfolios
- Build and maintain strong relationships with partner banks and financial institutions
- Manage pipeline of DA deals and ensure alignment with internal targets
- Address investor queries and manage post-transaction interactions
3. Pass Through Certificate (PTC) Transactions:
- Execute fund raising through PTC structures to support ALM and liquidity management
- Coordinate with trustees, rating agencies, and investors for issuance and closure
- Monitor performance of securitised pools and ensure compliance with transaction covenants
4. Stakeholder Coordination & Due Diligence:
- Coordinate with internal and external stakeholders including: Banks / Investors, Legal counsels, Trustees, Rating agencies, Auditors, Internal operations and credit teams etc.
- Facilitate due diligence processes for pool selection and transaction execution
- Ensure data accuracy, documentation completeness, and regulatory compliance
5. MIS, Reporting & Analytics:
Prepare and maintain MIS for:
- Deal pipeline and closures
- Monthly cost of funds tracking
- Outstanding securitisation transactions
- Track performance of securitised pools and investor payouts
- Manage investor reporting and resolve escalations related to payouts or servicing
- Provide analytical insights to management for decision-making
6. Governance, Compliance & Process Excellence
- Ensure compliance with regulatory guidelines (RBI / NHB) for securitisation and DA transactions
- Maintain high standards of documentation and audit readiness
- Ensure all structured transactions are executed seamlessly with minimal operational risk
Key Skills & Competencies:
- Strong understanding of securitisation structures (DA & PTC) and regulatory framework
- Negotiation and stakeholder management skills
- Analytical mindset with strong MIS and data interpretation capabilities
- High attention to detail and execution discipline
Preferred Experience:
- 3 to 5 years of experience in treasury / structured finance / securitisation
- Prior experience in NBFC / HFC treasury or structured finance roles
- Exposure to DA, PTC, and co-lending structures is very essential
- Master's degree in Finance (MBA - Finance) from a recognized institution preferred.
