
Role Summary:
Applicant would be acting as designated Company Secretary of the Company. He/ She should have expertise in corporate laws, securities laws & capital market and corporate governance. He/ She shall act be responsible for different legal/ regulatory compliances of company and advice on best practices in corporate governance.
Key Responsibilities:
1. Corporate & Secretarial:
- Manage end-to-end secretarial compliance under the Companies Act, 2013
- Organize Board, Committee, and General Meetings; prepare agendas, notes, minutes, and resolutions
- Maintain statutory registers, records, and corporate documentation
2. Listing Compliances:
- Assist in the listing of the Company's debt securities and manage ongoing compliance.
3. Regulatory Compliance:
- Handle ROC and MCA filings (AOC-4, MGT-7, DIR-3 KYC, PAS-3, etc.)
- Support compliance with RBI regulations applicable to digital lending/NBFCs
- Track and implement regulatory updates and circulars
4. Governance & Coordination:
- Ensure adherence to corporate governance best practices
- Coordinate with auditors, legal advisors, and regulators
- Support audits, due diligence, and investor-related secretarial requirements
5. Internal Support:
- Work closely with Legal, Finance, Risk, and Compliance teams
- Maintain compliance calendars and ensure timely reporting
Required Experience:
- 12-15 years of post-qualification experience.
Desired Candidate Profile:
- Experience: Preference for candidates with prior experience in a Listed Organization (Debt/Equity) and an NBFC.
- Regulatory Knowledge: Essential to possess a strong understanding of and strict adherence to relevant regulatory guidelines.
- Confidentiality: Must have the proven ability to manage sensitive, price-sensitive information (UPSI) with the utmost confidentiality.
- Work Environment: Comfortable and effective working under pressure to meet stringent regulatory deadlines.
