Job Responsibilities:

- Assist in compliance due diligence for Venture Capital transactions.

- Review Issue and Allotment documents for securities issued on Rights Issue, Private Placement, Buyback, and Preferential Allotment basis.

- Handle FEMA compliance processes, including FCGPR, FCTRS, ODI, APR, and FLA filings.

- Advise foreign companies on establishing and structuring their presence in India.

- Lead compliance processes for VC funding transactions, ensuring adherence to all statutory requirements.

- Manage strike-off procedures under the Fast Track Exit Scheme.

- Oversee ESOP and Phantom Stock compliance, including drafting and filing requirements.

- Manage and guide team members to deliver quality and timely outputs.

- Maintain ongoing interaction with clients and stakeholders to address compliance queries effectively.

- Implement systems and processes to ensure robust governance and adherence to legislation.

- Stay updated on legal and regulatory changes affecting corporate governance and VC compliance.

- Maintain and update company policies to reflect evolving industry standards and regulatory requirements.

- Provide risk advisory services to clients from a compliance perspective and proactively resolve challenges.

Key Requirements:

- Experience: Minimum 3-6 years, preferably from a professional services firm or corporate compliance team.

- Ability to thrive in a fast-paced environment while managing multiple priorities.

- Strong solution-orientation with a proactive mindset.

- Excellent communication, stakeholder management, and interpersonal skills
