Purpose of the Role :

The Head Mergers & Acquisitions will lead the organization's inorganic growth agenda by identifying, evaluating, negotiating, and executing strategic acquisitions, investments, joint ventures, and partnerships. The role will drive the end-to-end transaction lifecycle, including target identification, valuation, due diligence, deal structuring, negotiations, integration planning, and value realization.

The position will work closely with business leaders, investors, legal advisors, and external stakeholders to support the organization's growth objectives and create long-term shareholder value.

Preferred Qualification and Experience :

- Bachelor's degree in Finance, Economics, Business Administration, Commerce, or related field.

- MBA / PGDM from a Tier 1 institute

- CA, CFA, CPA, or equivalent professional qualification preferred.

- 15- 20+ years of experience in Mergers & Acquisitions, Corporate Development, Corporate Finance, Investment Banking, or Private Equity.

- Strong experience in valuation, financial modeling, due diligence, negotiations, and transaction structuring.

- Experience managing end-to-end M&A transactions from opportunity identification through post-merger integration.

- Cross-border transaction experience preferred.

Role and Responsibilities :

M&A Strategy & Opportunity Identification :

- Develop and execute the company's M&A strategy aligned with business objectives.

- Identify acquisition, merger, investment, and partnership opportunities.

- Conduct industry, market, and competitor analysis to identify inorganic growth opportunities.

- Build and maintain a strong pipeline of potential targets.

Deal Evaluation & Financial Analysis :

- Lead financial modeling, valuation, and business case development.

- Assess strategic fit, synergies, risks, and return on investment.

- Prepare investment recommendations and Board-level presentations.

Due Diligence :

- Manage commercial, financial, legal, tax, HR, operational, and technology due diligence.

- Identify transaction risks and recommend mitigation plans.

- Coordinate with internal and external advisors throughout the diligence process.

Deal Structuring & Negotiation :

- Lead negotiations with promoters, founders, investors, and advisors.

- Structure transactions to optimize value and minimize risk.

- Drive preparation and execution of term sheets, transaction documents, and definitive agreements.

Post-Merger Integration :

- Develop integration strategies and implementation plans.

- Monitor synergy realization and value creation.

- Partner with business leaders to ensure successful integration and transition.

Stakeholder Management :

- Collaborate with Finance, Legal, HR, Operations, and Business teams.

- Engage with investment bankers, consultants, auditors, and legal advisors.

- Present recommendations to senior leadership and Board committees.
