Job Description:
Support the origination, structuring, execution, and ongoing monitoring of leveraged and acquisition finance transactions for corporate, private equity, and financial sponsor clients. The role focuses on providing debt financing solutions for leveraged buyouts (LBOs), acquisitions, recapitalisations, and refinancings.
Key Responsibilities:
Origination & Client Support:- Assist in identifying and evaluating leveraged and acquisition finance opportunities with existing and prospective clients.
- Prepare client presentations, pitch books, and transaction case studies for internal and external meetings.
- Support relationship managers and senior bankers in responding to client requests and RFPs.
Transaction Structuring & Execution:- Perform detailed financial modelling, including LBO and debt capacity analysis, scenario/sensitivity analysis, and capital structure optimisation.
- Support the structuring of financing packages (term loans, revolving credit facilities, mezzanine, unitranche, and/or high-yield structures as applicable).
- Contribute to the preparation of credit proposals, term sheets, and internal approval documents.
- Coordinate due diligence processes (financial, legal, tax, commercial) with internal teams and external advisers.
- Assist in documentation review and negotiation (facility agreements, intercreditor agreements, security documents) in conjunction with Legal.
Credit & Risk Analysis:- Perform detailed credit analysis on borrowers, sectors, and transaction structures, including business model assessment, cash flow analysis, leverage metrics, and downside cases.
- Identify key risks (business, financial, structural, legal, ESG) and propose appropriate risk mitigants.
- Support the preparation of materials for credit committees and other internal governance forums.
Portfolio Management:- Monitor the performance of an assigned portfolio of leveraged finance exposures, including covenant compliance, financial performance, and market developments.
- Prepare regular portfolio reviews and watchlist reports, highlighting emerging risks and recommended actions.
- Support refinancing, amendments, extensions, and waivers where required.
Market & Product Knowledge:- Track market trends, pricing, leverage levels, structures, and documentation terms in the leveraged loan and acquisition finance markets.
- Maintain up-to-date knowledge of relevant regulations, rating agency methodologies, and industry best practice.
- Contribute to internal market updates, product notes, and training materials.
