About the Role:


We are seeking a dynamic and experienced professional to lead Company Secretarial function. The role involves leading a team of Company Secretaries, driving strategic corporate initiatives, ensuring statutory compliance, and playing a key role in investment transactions, M&A, and legal oversight. The ideal candidate will bring a blend of leadership, legal acumen, and strategic advisory experience in a fast-paced industrial and logistics infrastructure environment.


Key Responsibilities:


Board and Committee Support:

- Organize Board, Committee, and General Meetings, including preparation of agenda, notices, and presentations.

- Ensure timely execution of board decisions and follow-ups.

Leadership & Governance:

- Lead and mentor the Company Secretarial team.

- Ensure effective corporate governance and board management.

- Draft and review minutes, resolutions, and statutory records.

Transaction Advisory & Structuring:

- Spearhead deal structuring, due diligence, and strategic investments.

- Provide strategic advisory on mergers, acquisitions, and joint ventures.

- Liaise with external advisors, legal consultants, and regulatory bodies.

Legal & Compliance Oversight:

- Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable laws.

- Oversee filing of necessary documents and returns with ROC and other regulatory authorities.

- Maintain meticulous documentation and record-keeping.

Cross-Functional Collaboration:

- Partner with finance, legal, business development, and strategy teams.

- Support fundraising activities, investor documentation, and shareholder communications.


Qualifications:


- Education: Qualified Company Secretary (CS); LLB or MBA (Finance/Legal) is a plus.

- Experience: 1520 years of progressive experience in secretarial, legal, and transaction advisory roles, preferably in industrial/logistics infrastructure or real estate sectors.


Key Skills:


- Proficiency in managing board governance and secretarial functions

- Expertise in Company Law, SEBI, FEMA, and regulatory frameworks

- Strong experience in deal structuring, M&A, due diligence

- Excellent communication, documentation, and leadership skills

- Ability to work cross-functionally and manage stakeholders effectively
