Role Overview

The Senior Manager - Transaction Advisory Services (TAS) will be responsible for leading and managing end-to-end transaction engagements, including buy-side and sell-side due diligence, business valuations, mergers and acquisitions, and deal structuring.


The role involves working closely with promoters, private equity investors, and corporates to deliver insightful, data-driven transaction support and advisory solutions.


The incumbent will drive client engagements with strategic acumen, manage project delivery teams, and contribute to the growth and positioning of the firm's Transaction Advisory practice.

Key Responsibilities

1. Transaction Execution

- Lead financial, tax, and business due diligence assignments for both buy-side and sell-side clients.

- Analyze target company financials, working capital trends, debt structures, and key performance metrics.

- Identify deal issues, financial risks, and potential adjustments to EBITDA or purchase price.

- Prepare detailed due diligence reports highlighting findings, implications, and recommendations.

2. Deal Advisory & Structuring

- Support clients in evaluating investment opportunities, structuring transactions, and assessing deal feasibility.

- Provide inputs on valuation, negotiation strategy, and transaction documentation.

- Collaborate with tax, legal, and regulatory teams for integrated deal solutions.

- Advise promoters and investors on transaction readiness, fund-raising, and restructuring.

3. Business Development

- Identify and pursue new business opportunities across sectors and service lines.

- Lead proposal development, client presentations, and pitch support.

- Build strategic relationships with private equity firms, investment bankers, and corporates to enhance deal flow.

4. Client Management

- Serve as the key point of contact for clients during transaction engagements.

- Ensure clear communication, timely delivery, and proactive issue resolution.

- Build long-term trusted relationships with CXOs, founders, and investor representatives.

5. Team Leadership & Quality Control

- Lead project teams, review deliverables, and ensure compliance with firm quality standards.

- Coach and mentor associates and managers, fostering a culture of excellence and accountability.

- Drive knowledge management initiatives and contribute to developing sectoral expertise within the TAS practice.

Qualifications

- Chartered Accountant (CA) / MBA (Finance) / CFA or equivalent qualification.

- 10 - 14 years of experience in Transaction Advisory, Financial Due Diligence, or Corporate Finance, preferably in a Big 4 or reputed consulting environment.

- Strong financial analysis, report writing, and project management skills.

- Proven ability to lead multiple assignments and client relationships simultaneously.
