Senior Manager - Fundraising/Due Diligence(MBA's Tier 2
Job Description :
Our client is a Global Organisation (MNC) based in Singapore with their subsidiaries across multiple locations. We are seeking for a FP&A person with strong experience in Fund Raising/Due diligence and relevant areas as JD below :
Position : Senior Manager / Associate Director FP&A (Reports to Group CFO)
The Role :
- Own the end-to-end financial due diligence process for equity, debt, and structured fundraising rounds.
- Build and maintain a comprehensive data room with financial models, KPI trackers, and scenario analyses.
- Serve as the primary financial point of contact for investors and third-party advisors; coordinate with Legal, Tax, and Business teams to ensure data accuracy.
- Proactively identify and resolve diligence gaps before they escalate.
2. Lead financial due diligence for acquisitions :
- Support and lead the financial due diligence workstream for potential acquisitions being evaluated by the company:
1. Assess target company financials quality of earnings (QoE), revenue recognition, working capital, debt, and contingent liabilities
2. Build acquisition financial models including purchase price allocation (PPA), synergy quantification, and post-merger integration (PMI) impact on consolidated financials
3. Coordinate with investment bankers, legal counsel, and external auditors through the diligence process
4. Prepare IC (Investment Committee) memos and management presentations summarising deal rationale, risks, and financial impact
5. Monitor post-acquisition integration milestones and track realisation of projected synergies
3. Stakeholder Management :
- Investor & promoter management: Act as the financial interface for investors (institutional, strategic, PE/VC) and promoters:
1. Handle investor and promoter queries on financials, business performance, and strategic direction ensuring timely, accurate, and well-articulated responses
2. Prepare and deliver periodic investor updates, quarterly performance packs, and board reporting materials
3. Manage information covenants, reporting obligations, and compliance requirements under SHA/SSA/investment agreements
4. Build and maintain strong working relationships with key investor representatives and promoter offices
4. Liasion :
- Bridge between portfolio company, parent management & investors. Serve as the central financial liaison across three stakeholder tiers portfolio company senior management, parent/holding company leadership, and the investor group :
1. Translate portfolio company operational performance into consolidated financial narratives for parent management and investors
2. Facilitate alignment on financial targets, reporting cadence, and governance expectations across entities
3. Escalate financial risks or deviations from plan with clear context, root cause analysis, and recommended actions
4. Drive a unified reporting framework across portfolio companies to enable like-for-like performance comparison
5. Support parent management in evaluating capital allocation decisions across the portfolio
5. Financial Planning :
- Annual planning, budgeting & forecasting. Drive annual budgeting, quarterly reforecasting, and 3 - 5 years long-term planning.
- Partner with business unit heads to build bottoms-up plans and translate operational assumptions into financial projections aligned with investor commitments.
6. Financial Modelling :
- Integrated financial modelling & valuation.
- Build and own three-statement financial models, DCF valuations, LBO models, unit economics, and cohort analyses.
- Stress-test assumptions under multiple scenarios and present findings to the CFO, board, and investors.
7. Reporting And Analytics :
- MIS, KPI dashboards & variance reporting.
- Own the management information system (MIS) and deliver monthly actuals vs. budget variance commentary, unit economics, and other parameters reporting on a D+3 basis.
- Build automated dashboards using BI tools and continuously improve reporting infrastructure.
