Senior Manager - Financial Due Diligence - Transaction Advisory

Role & responsibilities:

We are looking for an experienced Senior Manager to join our financial due diligence practice and play a dual role - technical delivery leadership and business development - within our Transaction Advisory practice. This is a client-facing, high-visibility role suited to a professional who can independently run complex FDD assignments while actively contributing to the growth of the practice.

Key Responsibilities:

Technical Delivery:

- Lead end-to-end buy-side and sell-side financial due diligence engagements, including quality of earnings (QoE) analysis, normalized EBITDA, working capital analysis, net debt-debt-like items, and cash flow assessment.

- Review and interpret target company financial statements, accounting policies, and MIS-management accounts to identify red flags, adjustments, and deal-relevant findings.

- Analyze historical trends, revenue quality, customer concentration, related-party transactions, and off-balance-sheet items.

- Oversee data room analysis, management interviews, and information requests.

- Draft and review high-quality due diligence reports, executive summaries, and SPA-relevant schedules for CFOs, PE investors, and corporate clients.

- Ensure technical accuracy on Ind AS-IFRS-US GAAP matters as relevant to engagements.

- Manage engagement economics - budgets, timelines, realization, and profitability.

- Review and mentor the work of Managers, Assistant Managers, and Associates on the engagement team.

- Liaise with legal, tax, and other due diligence workstreams to ensure integrated deliverables.

Business Development:

- Build and nurture relationships with PE funds, corporates, investment bankers, and other intermediaries to generate deal flow and referrals.

- Identify and originate new FDD mandates; participate in pitch preparation, proposal drafting, and fee negotiations.

- Represent the firm at industry forums, networking events, and client meetings to enhance market visibility.

- Work closely with Partners to develop and execute the practice's go-to-market and growth strategy.

- Track deal pipelines in the M&A ecosystem and proactively identify opportunities for the firm.

- Contribute to thought leadership - market insights, sector notes, deal trend commentary.

People & Practice Development:

- Support recruitment, training, and capability building within the FDD team.

- Contribute to development of methodology, templates, and quality standards for the practice.

- Drive knowledge-sharing and technical upskilling across the team.

Preferred candidate profile:

Qualifications:

- Chartered Accountant (CA) mandatory; CFA-MBA (Finance) a plus.

- 8 - 12 years of relevant post-qualification experience, with a significant portion in financial due diligence-transaction advisory at a Big 4, mid-tier advisory firm, or investment bank.

Technical Skills:

- Strong command of financial reporting standards (Ind AS; working knowledge of IFRS-US GAAP preferred).

- Deep understanding of QoE analysis, working capital normalization, net debt schedules, and deal structuring implications.

- Ability to interrogate financial statements and MIS with a sharp, skeptical eye.

- Proficient in Excel-based financial modeling and analysis; PowerPoint for client reporting.

Business & Leadership Skills:

- Demonstrated track record (or strong aptitude) for business origination and client relationship management.

- Excellent stakeholder management - comfortable presenting to CXOs, PE partners, and investment committees.

- Strong team leadership, mentoring, and engagement management capability.

- Ability to manage multiple engagements simultaneously under tight deal timelines.
