Serve as the SPOC for Compliance and the Dedicated Trustee Officer to ensure end-to-end regulatory adherence across SEBI, AMFI, AMC/Trustee Board requirements. The role interprets and operationalizes regulatory guidelines, strengthens internal controls, coordinates with directors and stakeholders, and ensures timely, accurate reporting-aligning company strategies and schemes with the Mutual Fund regulatory framework.

Dedicated Trustee Officer Responsibilities:

1) Independent Trustee Oversight - Core Responsibilities:

- Ensure fairness of fees and expenses charged by the AMC to the schemes.

- Review scheme performance vs. peers/benchmarks and provide objective assessments to Trustee Directors.

- Verify AMC systems to prevent mis-selling, front-running, form-splitting, and ensure robust valuation governance.

- Confirm AMC operations are free from undue influence by sponsors/associates; no unfair advantage to group entities.

- Oversee management of conflicts of interest-escalate and ensure mitigation aligned to unitholder interests.

- Require system-based information/alerts and automated reports from the AMC to enable effective trustee due diligence; ensure periodic system reviews.

- Obtain any information from the AMC necessary for trustee oversight and scheme launch readiness.

- Ensure, before scheme launch, that the AMC has adequate back-office/dealing/accounting systems, appointed key personnel/auditors/compliance officer/registrars, prepared a compliance manual/internal audit, and set broker empanelment norms.

- Monitor AMC broker empanelment and concentration; ensure no undue advantage to associates.

- Ensure AMC transactions comply with regulations and scheme terms, and schemes are managed independently with investor interests protected.

- Prepare trustee reporting in line with the Master Circular for Mutual Funds (June 27, 2024), ensuring current formats and rescissions are reflected.

- Facilitate UHPC constitution/operations; support its mandate to protect unitholder interests across AMC products/services, including review of unclaimed amounts/inactive folios.

- Plan and coordinate Trustee-AMC meetings, circulate packs, maintain minutes/resolutions, and track action items to closure under trustee oversight expectations.

- Ensure trust deed/board approvals are current and implemented in operating procedures.

2) Other compliance support activities:

- Independently manage all reporting requirements to SEBI, AMFI, AMC/Trustee Board, and internal management.

- Prepare and submit regulatory reporting: CTR/QTR/HYTR, Offsite/Onsite inspection responses, investment compliance reports, compliance testing results, and Board packs.

- Coordinate audit & inspection responses and remediation tracking.

- Track regulatory and industry developments; convert directives into internal policies, SOPs, and training.

- Implement and monitor key Compliance Policies covering i.e. Gifts & Entertainment, Anti-bribery, Outside Business Activities, Error Escalations & Corrections, Fraud Escalation.

- Ensure organization-wide adherence to PIT (Prohibition of Insider Trading) guidelines and surveillance.

- Review and sign-off on marketing material, scheme documents (SID/SAI/KIM), addenda/updates, and other public disclosures for regulatory compliance. Periodic compliance review of public/product documents.

- Maintain surveillance dashboards and MIS for investment limits, valuation exceptions, corporate actions.

- Coordinate periodic compliance reviews across functions; track remediation and report to management/Trustees.

- Maintain registers, evidence, and audit trails; ensure testing of controls and closure of findings.

3) Stakeholder Interfaces:

SEBI, AMFI, AMC CEO/CIO/Compliance, Trustee Directors, RTA/Custodian, Internal/External Auditors, Risk/Legal, Distribution & Operations.

Qualifications:

- 5+ years relevant experience in the Mutual Fund/AMC industry.

- CA/CS/MBA/Law graduates preferred;

- Demonstrated execution capability, analytical mindset, regulatory decoding, solution orientation, strong drafting and advanced Excel skills.

Skills & Competencies:

- Deep knowledge of SEBI (Mutual Funds) Regulations, 1996 and Master Circulars; familiarity with trustee core responsibilities and reporting formats.

- High ownership, resilience under pressure, teamwork, cross-functional influence, and stakeholder management.
