Senior Legal Professional - AIFs (Category II & III, GIFT City Funds)
Location: Churchgate, Mumbai
Reports To: Head of Legal
Role Overview
- Investment Funds (Category II and III), including GIFT City funds. The role requires an independent contributor who can lead legal workstreams related to fund formation, structuring, governance, compliance, and deal execution.
- The ideal candidate should have experience across private equity, infrastructure, venture capital, private debt funds, private FoFs, and SME funds, with the ability to manage complex transactions end-to-end while ensuring regulatory adherence.
Key Responsibilities:
- Lead legal aspects of fund formation and structuring, including drafting governing documents, investment management agreements, and fund governance frameworks.
- Act as the primary liaison with regulatory authorities (SEBI, IFSCA, etc.), ensuring compliance with AIF and GIFT City regulations.
- Provide strategic legal guidance on fund structuring, investor documentation, and
regulatory considerations.
- Manage AIF and NBFC-related transactions, including M&A, private equity, credit financing, and hybrid deals.
- Negotiate agreements with fund managers, investors, and counterparties to safeguard fund and investor interests.
- Advise on investment strategies, risk management, and compliance matters to enhance fund performance and mitigate legal risks.
- Collaborate with senior management, investment teams, and external stakeholders to support deal execution and portfolio management.
- Develop and implement process improvements in legal documentation, deal lifecycle, and compliance monitoring.
- Support senior leadership in complex transactions such as IPO exits, private debt placements, and structured financings.
Candidate Profile:
- 10+ years of overall legal experience, with 5+ years dedicated to AIFs (Category II & III), preferably from a law firm or AMC.
- Strong track record in fund structuring, deal execution, and regulatory compliance in the AIF space.
- Proven ability to independently handle transactions across PE, infra, VC, private debt, private FoFs, and SME funds.
- Demonstrated expertise in drafting, negotiation, and regulatory engagement.
- Excellent stakeholder management and communication skills.
- Strong problem-solving ability with a focus on execution and risk mitigation.
