Role Summary: We are looking for a highly experienced and detail-oriented Senior Legal Counsel to join our legal team in Mumbai. The ideal candidate will possess 12+ years of experience in general corporate law, commercial advisory, and M&A transactions, preferably from a top-tier law school and reputed law firm or in-house role. This role requires strong transactional skills, legal acumen, and the ability to work with cross-functional teams and international clients.

Key Responsibilities:

- Provide strategic and practical legal advice on a wide range of general corporate and commercial matters

- Draft, review, and negotiate a variety of commercial contracts, shareholder agreements, JV agreements, NDAs, service agreements, and transactional documents

- Advise on business operations, regulatory compliance, risk management, and corporate governance

- Represent clients in contract negotiations, and provide legal support in mediations and arbitrations when required

- Conduct in-depth legal research and analysis to support transactions and client advisory

- Lead and manage the entire lifecycle of M&A transactions, including due diligence, deal structuring, documentation, and closing

- Ensure adherence to relevant laws, regulatory frameworks, and internal policies affecting business operations

- Collaborate with cross-functional and international teams to align legal guidance with business objectives

- Stay abreast of legal and industry developments, ensuring advice remains current and commercially relevant

- Contribute to internal knowledge sharing and mentor junior lawyers as part of the wider legal team

Candidate Requirements:

- LLB from a premier law school; LLM is a plus.

- Minimum 12 years of post-qualification experience in a law firm or corporate legal team with significant exposure to corporate advisory, commercial contracts, and M&A.

- Proven ability to handle complex cross-border transactions and strategic advisory independently

- Strong drafting, negotiation, and communication skills with commercial awareness.

- Demonstrated leadership in client servicing and ability to manage multiple priorities.

- High ethical standards, attention to detail, and solution-oriented mindset.
