Role & Responsibilities:
We are looking for a seasoned Investment Banking professional with deep expertise in Debt Syndication, Structured Finance, and Debt Restructuring. The ideal candidate should come with a strong foundation in banking or NBFC background, hands-on experience in originating and structuring complex debt transactions, and a robust network of lenders, family offices, and private investors.
In addition to leading the debt practice, the candidate will also leverage investor relationships to source and facilitate Pre-IPO, secondary, and hybrid investment opportunities. This is a lead-level role with high autonomy, direct reporting to the Managing Partners, and the opportunity to build debt and credit franchise nationally.
Key Responsibilities:
1. Deal Origination & Mandate Acquisition:
- Source and originate debt syndication, structured credit, and refinancing mandates across corporate and mid-market clients.
- Identify opportunities in project finance, NCD issuances, promoter funding, LRD, mezzanine structures, and special situation financing.
- Build and manage a strong mandate pipeline across sectors including manufacturing, infrastructure, logistics, and new-age growth businesses.
- Lead client engagement from mandate pitch to financial closure.
2. Deal Structuring & Execution:
- Design customized financing structures term loans, structured NCDs, bridge finance, promoter funding, and securitized debt.
- Conduct credit analysis, financial due diligence, and feasibility studies to evaluate debt proposals.
- Prepare and present detailed credit notes, transaction decks, and information memoranda.
- Manage lender and investor communication through the full transaction lifecycle from term sheet to documentation and disbursement.
- Oversee restructuring and re-leveraging transactions, including distressed or under-performing assets.
3. Relationship Management & Investor Ecosystem Building:
- Maintain and grow relationships with banks, NBFCs, mutual funds, family offices, and private credit funds.
- Develop co-lending and syndication partnerships to enable capital flow and multi-lender participation.
- Work with investor networks to identify structured and Pre-IPO investment opportunities for cross-sell mandates.
- Act as a trusted financial advisor to promoters and CFOs, guiding them on optimal capital structuring.
4. Market Intelligence & Strategy:
- Stay abreast of RBI/SEBI regulatory frameworks, credit market trends, and alternative investment flows.
- Identify and create new structured finance products and debt platforms suited for private credit and hybrid capital.
- Collaborate with leadership to build an internal credit products vertical and transaction pipeline across India.
- Maintain detailed MIS and deal-tracking metrics for management reporting.
Ideal Candidate:
- Strong debt syndication profile
- Must have 4+ years in Debt Syndication, Structured Finance, Corporate Banking, or NBFC lending
- Must have experience in originating debt mandates (term loans, NCDs, promoter funding, refinancing)
- Must have hands-on experience in evaluating and processing loans, doing background checks of the companies, including credit assessment for startups and exposure to unsecured / cash-flow based lending (non-negotiable)
- Must have managed lender relationships (banks, NBFCs, private credit, family offices)
- Must have led transactions from pitch to financial closure, including onboarding and documentation
- Must have exposure to restructuring, stressed asset transactions, and re-leveraging.
- Must know credit assessment frameworks, cash flow modeling, and ratio analysis.
- Must understand debt products: NCDs, CPs, LRD, mezzanine, structured credit.
- Must prepare MIS reports on deal pipelines and investor/lender interactions.
- Must be proficient with Excel, PPT, financial modeling basics.
Mandatory (Company): Must come from Investment Banking, Corporate Banking, NBFC credit, Structured Finance
Mandatory (Education): Must have an MBA in Finance
Preferred (Certification): CFA / CA / CAIA certification preferred
