Job Overview:

- The Senior Executive - M&A Due Diligence will be responsible for supporting domestic and cross-border mergers, acquisitions, and corporate restructuring transactions from a tax and financial diligence perspective.


- The role involves in-depth analysis of financial statements, preparation and review of tax returns, and assessment of tax exposures, ensuring compliance with US and UK tax laws. The candidate will work closely with internal teams, clients, and external stakeholders to provide strategic insights and support informed decision-making during the transaction process.

Key Responsibilities:

1. M&A and Financial Due Diligence:

- Conduct comprehensive financial and tax due diligence for mergers, acquisitions, and divestitures.

- Identify key tax risks, exposures, and opportunities within target entities.

- Prepare diligence reports summarizing key findings, tax adjustments, and potential implications on deal structure and valuation.

- Assist in post-deal integration and support transaction closing activities.

2. US Taxation:

- Prepare and review US Federal and State corporate tax returns in accordance with IRS and state requirements.

- Work on international tax forms including Forms 5471, 8858, 8865, and computations related to GILTI (Global Intangible Low-Taxed Income) and FDII (Foreign-Derived Intangible Income).

- Support tax provision calculations and assist in reconciliation between US GAAP and tax bases.

- Prepare Sales Tax and Gross Receipts Tax returns for multi-state operations and ensure timely filing and compliance.

3. UK Taxation:

- Prepare and review UK corporate tax returns (CT600), ensuring accuracy and adherence to HMRC guidelines.

- Assist in preparation and review of VAT returns, reconciliation of VAT accounts, and compliance with Making Tax Digital (MTD) requirements.

- Provide technical support on UK corporate tax computations and deferred tax workings under IFRS.

4. International Taxation and Accounting Standards:

- Demonstrate strong understanding of international tax treaties and their application in cross-border transactions.

- Support advisory teams in interpreting Double Tax Avoidance Agreements (DTAAs) for withholding tax and permanent establishment analysis.

- Apply knowledge of IFRS and US GAAP in preparing reconciliations and tax adjustments during due diligence reviews.

5. Client and Stakeholder Management:

- Communicate effectively with clients, investors, auditors, and internal stakeholders to obtain information and clarify findings.

- Prepare detailed reports and presentations summarizing due diligence observations and tax implications.

- Ensure professional communication and maintain confidentiality of all transaction-related information.

Skills and Competencies:

- Strong analytical and research skills with attention to detail.

- Proficiency in tax preparation software and MS Excel.

- Good understanding of accounting principles under IFRS/US GAAP.

- Excellent communication and report-writing skills.

- Ability to manage multiple projects and meet tight deadlines.

Preferred Qualifications:

- Chartered Accountant (CA), CPA, ACCA, or equivalent qualification.

- 2-4 years of experience in tax compliance, M&A due diligence, or transaction advisory services.

- Experience with US and UK taxation, including corporate, sales, and VAT compliance.
