Senior Associate, SPA & Disputes

Experience: 3 - 6 years

Qualifications: CA or MBA in Finance (full time)

Locations: Bangalore, Gurgaon, and Kolkata

Role Overview:

As an Associate/Senior Associate in our M&A SPA Disputes practice, you will sit at the intersection of financial advisory and legal resolution. You will be responsible for navigating complex post-acquisition disagreements, specifically focusing on purchase price adjustments, earn-out disputes, and breaches of warranty. Working closely with senior leadership and cross-functional deal teams, you will engage directly with clients to dissect financial statements, interpret Sale and Purchase Agreements (SPA), and provide robust analytical support to resolve high-stakes disputes. Your work directly impacts the final valuation outcomes for our clients, ensuring that the economic intent of the deal is accurately reflected and protected during the post-closing phase.

Key skillset:

- M&A/SPA & Disputes experience

- Client-facing experience

- Strong grounding in accounting and financial analysis

- Awareness of business valuations concepts (Enterprise Value vs. Equity Value) and transaction mechanisms (completion accounts vs. locked box)

- FDD/Audit experience

- Effective written and verbal communication skills in English
