KEY RESPONSIBILITY AREA : - To assist in organizing shareholder meeting and Board of Directors meeting including prepare of memorandum, minutes of meetings, follow up matters arising from the meetings. - To file various intimation / disclosures with stock exchanges. - To ensure compliances under the Companies Act, SEBI guidelines and group policies and applicable laws. - To implement Corporate Governance norms and disclosure requirements, listing regulations, code of ethics, code of conduct, etc. to ensure transparency in all operations. - To assist in maintaining of secretarial records, statutory books and registers. - To file various forms / returns with Registrar of Companies. - To oversee policies and make sure they are kept up to date and referred to the appropriate committee for approval. - To contribute in the meeting discussions as and when required, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies. - To monitor changes in relevant legislation and the regulatory environment and take appropriate action. - To liaise with external regulators and advisers, such as MCA, lawyers and auditors. - Allotment and listing of equity shares pursuant to exercise of ESOP. - Transfer & Transmission of Shares, Remat, Demat of Shares and corresponding with shareholders. - Listing of Shares and Securities on Stock Exchange. - Coordination with Registrar and Share transfer agency office ensuring proper maintenance of the documents and monitor changes in share ownership of the Company. - Formation and incorporation of new companies and matters related therewith. Filing, registering documents including forms, returns and applications. JOB PURPOSE: - To assist in ensuring compliance under SEBI Listing Regulations, SEBI SBEB & SE Regulations and SEBI DP Regulations (including stock exchange filings under the said regulations) and circulars issued thereunder. - To assist in organizing various meetings, drafting memorandum & minutes and co-ordinating with shareholders, auditors, depositories etc. - To assist in implementing good corporate governance practices & policies, monitoring of investors correspondence. - To assist in ensuring compliance with the Companies Act and circulars issued / rules made thereunder, SEBI MF Regulations and circulars issued thereunder, Secretarial standards of ICSI (including preparation of registers, annual report, filing of MCA forms etc.). - To assist directors in ensuring compliance with applicable laws.
