Role Overview:

The Company Secretary will serve as the primary custodian of corporate governance and regulatory compliance for Ramfincorp. This role involves managing the entire spectrum of secretarial functions, ensuring that the organization remains fully aligned with the Companies Act, SEBI regulations, and other relevant financial statutes. You will work closely with the Board of Directors, senior management, and external auditors to facilitate seamless decision-making processes, maintain statutory records, and mitigate legal risks. Your contributions will be instrumental in upholding the company's reputation for integrity and operational excellence in a highly regulated industry.

Key Responsibilities:

- Manage the end-to-end process of board meetings, general meetings, and committee meetings, including drafting agendas, minutes, and resolutions to ensure compliance with corporate governance standards.

- Oversee the filing of various forms and returns with the Registrar of Companies and other regulatory authorities to maintain accurate and timely statutory records.

- Conduct comprehensive secretarial audits to identify potential compliance gaps and implement corrective measures that protect the organization from legal exposure.

- Advise the leadership team on evolving corporate laws and regulatory changes, ensuring the company adapts its internal policies to remain compliant.

- Coordinate with internal and external stakeholders, including legal counsel and regulatory bodies, to facilitate smooth corporate transactions and statutory reporting.

- Maintain and update the statutory registers and records as required under the Companies Act to ensure the company remains audit-ready at all times.

Required Skillset:

- Demonstrated expertise in managing complex corporate law matters and regulatory compliance frameworks within the financial services sector.

- Proven ability to draft high-quality legal documentation, board resolutions, and compliance reports with meticulous attention to detail.

- Strong interpersonal skills to effectively communicate with senior stakeholders and navigate sensitive governance discussions.

- Qualified Company Secretary (CS) with 5 - 10 years of professional experience in a corporate secretarial or legal compliance role.

- Ability to work effectively in an on-site environment at our Gurugram office, collaborating with cross-functional teams to meet strict regulatory deadlines.

- Proactive approach to problem-solving with a deep understanding of the regulatory landscape governing NBFCs in India.
