Role Overview:

We are seeking a highly motivated and experienced Manager to join our Financial Due Diligence (FDD) team in Bangalore. In this role, you will be responsible for leading and executing financial due diligence engagements for both buy-side and sell-side transactions. You will work closely with clients, private equity firms, and other stakeholders to analyze financial statements, identify key deal drivers, and assess potential risks and opportunities. Your insights will directly impact investment decisions and contribute to successful transaction outcomes.

Key Responsibilities:

- Lead and manage financial due diligence engagements, ensuring timely and high-quality deliverables.

- Analyze financial statements, including income statements, balance sheets, and cash flow statements, to identify trends, anomalies, and potential risks.

- Prepare and review databooks summarizing key findings and observations from the due diligence process for clients.

- Evaluate the quality of earnings, working capital, and net debt to provide a comprehensive assessment of the target company's financial performance.

- Identify and assess potential deal breakers, risks, and opportunities to inform the client's negotiation strategy.

- Communicate findings and recommendations to clients and senior management through written reports and presentations.

- Manage and mentor junior team members, providing guidance and support to ensure their professional development.

- Participate in business development activities, including proposal writing and client presentations, to expand the firm's FDD practice.

Required Skillset:

- Demonstrated ability to perform comprehensive financial analysis and interpret financial statements.

- Proven experience in conducting financial due diligence engagements, including both buy-side and sell-side transactions.

- Strong understanding of accounting principles IND AS and financial reporting requirements.

- Excellent analytical, problem-solving, and critical-thinking skills.

- Ability to communicate effectively, both verbally and in writing, to clients and internal stakeholders.

- Experience in preparing databooks and other transaction-related documents.

- Strong project management skills and the ability to manage multiple engagements simultaneously.

- 4-8 years of relevant experience in financial due diligence.
