Principal Financial Due Diligence

Job Overview:

We are looking for an experienced Principal Financial Due Diligence to lead and grow the Financial Due Diligence (FDD) and Transaction Advisory practice. The ideal candidate will be a Chartered Accountant with 10+ years of experience, strong expertise in financial due diligence and transaction advisory, and an established network across Private Equity (PE) firms, investors, and strategic stakeholders.

This role will be responsible for leading complex transaction engagements, managing senior client relationships, driving business development, developing the FDD practice, and owning the overall P&L.

Key Responsibilities:

- Lead the Financial Due Diligence and Transaction Advisory practice, including strategy, growth, service delivery, and team development.

- Manage end-to-end FDD engagements for PE funds, investors, corporates, and strategic buyers across various transaction types.

- Lead financial due diligence for buy-side and sell-side transactions, acquisitions, investments, mergers, and fundraising activities.

- Review and assess key financial areas including revenue, profitability, working capital, cash flows, debt, quality of earnings, and financial risks.

- Identify key financial, commercial, and operational risks and provide actionable insights to clients and investment teams.

- Develop and maintain strong relationships with Private Equity firms, venture capital funds, family offices, investors, CFOs, promoters, and corporate leadership.

- Drive business development initiatives, identify new opportunities, and build a strong transaction pipeline.

- Leverage an established PE/investor network to generate new mandates and expand the firm's market presence.

- Lead proposals, pitch presentations, client negotiations, and engagement closures.

- Take ownership of the practice P&L, including revenue growth, profitability, budgeting, and resource utilization.

- Build, mentor, and manage high-performing FDD and transaction advisory teams.

- Review engagement deliverables and ensure high standards of quality, accuracy, and timely execution.

- Collaborate with senior leadership and other advisory teams to identify cross-selling and business development opportunities.

- Stay updated on M&A trends, investment activity, industry developments, and evolving transaction advisory practices.

Required Qualifications & Experience:

- Chartered Accountant (CA) qualification is mandatory.

- 10+ years of relevant experience in Financial Due Diligence, Transaction Advisory, M&A Advisory, Investment Banking, or related fields.

- Strong experience in leading FDD/transaction advisory engagements from origination through completion.

- Demonstrated experience working with Private Equity firms, investors, corporates, and strategic buyers.

- Strong and established PE/investor network with the ability to generate business opportunities.

- Proven experience in business development, client relationship management, and revenue generation.

- Experience managing practice-level P&L and commercial performance.

- Strong understanding of Quality of Earnings (QoE), working capital, cash flow, debt, financial analysis, and transaction risks.

- Excellent leadership, stakeholder management, negotiation, and communication skills.
