About the Role: Job Description: The Company Secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the Board of Directors are implemented. We are looking for a compliance officer Someone who have good knowledge of Secretarial Compliances & Surveillances and having 10+ years experience of handling compliance of a group of public companies with multiple PE and retail investors. Key Responsibilities: - Report to the Group GC, CS and Compliance Officer. - Compliance with secretarial and corporate laws across all group companies which are public companies. - Having extensive experience of transactions like mergers (both NCLT and RD driven), acquisitions of companies whether through acquisition of shareholding or business, fund raises -both debt (secured, unsecured, listed, unlisted) and equity, bonus issuances, rights issuances, preferential allotments of all kinds of securities. - FEMA related compliance experience is preferred. - Will be responsible for managing ESOPs across the group, including compliance for new ESOPs to be granted as well as vested ESOPs exercised from time-to-time. - Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points. - Convene and service general meetings, postal ballots, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments. - Provide legal, financial, and/or strategic advice during and outside of meetings. - Compliance with various authorities like Reserve Bank of India (RBI), FEMA, Registrar of Companies (ROC) etc. - Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee. - Take regular workshops across the organization to ensure compliance with the rules and regulations applications, including the codes of conduct under SEBI PIT Regulations, etc. Payment of dividend and interest payments - Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders. - Shall directly report to the Securities and Exchange Board of India, Stock Exchanges, Registrar of Companies, Reserve Bank of India etc., and investors on the implementation of various clauses, rules, regulations and other directives of these authorities. - Maintain statutory books, including registers of members, directors, and secretaries. Desire Candidate Profile: - Good communication, multi-tasking, and organizational skills. - Someone with problem-solving approach. - Good leadership and inter-personal skills with ability to lead a team and achieve the desired results.
