Position Overview:

The Head - Investment will lead the organization's investment strategy, evaluation, execution, and portfolio management across the Oil & Gas and broader Energy sector.

The role will be responsible for identifying and assessing high-value investment opportunities, developing investment theses, leading financial and commercial due diligence, structuring transactions, negotiating with counterparties, and presenting investment recommendations to the Investment Committee or Board.

The incumbent will play a critical role in deploying capital prudently to generate sustainable long-term returns while ensuring alignment with the organization's strategic objectives, risk appetite, and growth plans.

Key Responsibilities:

1. Investment Strategy & Planning:

- Develop and implement the organization's investment strategy in alignment with corporate objectives and long-term growth plans.

- Identify priority investment themes across the Oil & Gas value chain, including upstream exploration and production, oil and gas fields, LNG and natural gas, refining and petrochemicals, midstream infrastructure, terminals, gas distribution, energy infrastructure, and renewable energy opportunities.

- Develop investment frameworks, hurdle rates, risk parameters, and capital allocation principles.

- Continuously monitor industry trends, commodity cycles, regulatory developments, and emerging investment opportunities.

2. Investment Origination:

- Build and maintain a strong pipeline of potential investments, acquisitions, joint ventures, strategic partnerships, and divestments.

- Develop relationships with promoters, governments, sovereign funds, private equity or infrastructure funds, investment banks, financial institutions, advisors, and industry participants.

- Evaluate unsolicited investment proposals and proactively originate strategic opportunities.

- Identify opportunities for inorganic growth through M&A, strategic investments, JVs, farm-ins or farm-outs, asset acquisitions, and corporate investments.

3. Investment Evaluation & Due Diligence:

- Lead end-to-end evaluation of investment opportunities from initial screening through final investment decision.

- Assess commercial, financial, operational, technical, legal, tax, regulatory, ESG, and geopolitical risks.

- Lead preparation or review of detailed financial models covering project economics, DCF, NPV, IRR, MOIC, payback period, sensitivity analysis, commodity price assumptions, production profiles, CAPEX or OPEX, and financing structures.

- Validate assumptions and challenge investment cases to ensure robust decision-making.

- Coordinate with internal functions and external advisors for comprehensive due diligence.

4. Transaction Structuring & Execution:

- Develop optimal transaction structures considering commercial, financial, tax, legal, regulatory, and risk implications.

- Lead negotiations with investment partners, sellers, buyers, lenders, governments, and other stakeholders.

- Evaluate and negotiate acquisition, JV, or share purchase agreements, term sheets, MOUs, investment agreements, and other transaction documentation in coordination with Legal.

- Drive transactions from term sheet through signing, closing, and post-closing integration.

- Ensure transactions comply with internal approval processes and applicable laws and regulations.

5. Investment Committee & Board Management:

- Prepare high-quality investment proposals and recommendation papers for the Investment Committee, CEO, and Board.

- Present investment cases, risks, returns, strategic rationale, and recommendations to senior management and Board-level stakeholders.

- Establish clear decision-making criteria and ensure appropriate documentation of investment decisions.

- Provide regular updates on the investment pipeline, transaction status, capital deployment, and portfolio performance.

6. Portfolio Management:

- Monitor performance of existing investments, JVs, subsidiaries, and strategic holdings.

- Establish appropriate KPIs and performance-monitoring frameworks.

- Identify value-creation opportunities across the investment portfolio.

- Recommend corrective actions, restructuring, additional investment, refinancing, or exit strategies where required.

- Lead portfolio optimization and capital recycling initiatives.

7. Risk Management:

- Establish robust investment risk assessment and mitigation frameworks.

- Assess exposure to commodity prices, foreign exchange, interest rates, country risk, regulatory changes, geopolitical developments, and operational risks.

- Ensure appropriate scenario planning and downside protection in investment decisions.

- Work closely with Risk, Finance, Legal, Compliance, Technical, and Operations teams.

8. Market Intelligence & Strategic Insights:

- Track global and regional Oil & Gas investment trends, valuation benchmarks, M&A activity, and capital flows.

- Monitor crude oil, natural gas, LNG, refining, petrochemical, and energy-transition market dynamics.

- Provide senior management with insights on potential market opportunities and threats.

- Benchmark investment performance against industry peers and global best practices.

9. Team Leadership:

- Build, lead, and develop a high-performing investment team.

- Define roles, responsibilities, objectives, and performance metrics for the investment function.

- Develop strong analytical, commercial, and transaction capabilities within the team.

- Foster a culture of rigorous analysis, accountability, integrity, and disciplined capital allocation.

Key Deliverables / KPIs:

- Quality and value of investment pipeline generated.

- Risk-adjusted returns on invested capital.

- IRR, NPV, and MOIC delivered from investments.
