A Banking & Finance Lawyer's job involves:
- Advising on RBI/SEBI compliance
- Conducting due diligence
- Structuring complex transactions (project finance, acquisition finance, etc.)
- Managing regulatory risk
- Handling enforcement under laws like SARFAESI/IBC, focusing on both lender/borrower perspectives for diverse financial institutions.
Key Responsibilities:
- Transaction Management: Structuring, drafting, and negotiating financing documents (loan agreements, security documents, inter-creditor agreements, facility agreements) for corporate, real estate, and project finance.
- Regulatory Compliance: Ensuring adherence to regulations from RBI, SEBI, NHB, and other bodies, advising on legal and regulatory risks, and staying updated on evolving laws.
- Due Diligence: Performing legal due diligence on companies and assets for secured lending.
- Advisory: Providing legal counsel on strategic contracts, debt management, investment, and risk mitigation.
- Security Enforcement: Advising on enforcement actions and recovery under laws like the SARFAESI Act and IBC.
- Stakeholder Coordination: Liaising with clients, banks, NBFCs, regulatory bodies, and internal teams.
- Mentorship: Guiding junior lawyers on finance laws and complex transactions.
Key Skills & Knowledge:
- Strong understanding of Indian banking and finance laws, RBI/SEBI regulations, IBC, SARFAESI Act, and corporate laws.
- Excellent drafting, research, and analytical skills.
- Ability to manage high-value, time-sensitive, multi-jurisdictional deals.
- Risk assessment and mitigation expertise.
Typical Clients & Focus Areas:
- Representing lenders (banks, NBFCs) or borrowers in financing deals.
- Working on structured finance, acquisition finance, project finance, and general corporate lending.
- Handling matters for financial institutions, large corporations, and sometimes individuals.
