OIa's BIC is one of the world's largest cell R&D centres. Over the long-term, we will build a global EV hub in India to galvanise, strengthen our local EV ecosystem and cement India's position as a key player in EV manufacturing. Role Context: We are looking for a dynamic leader to lead the Company Secretary role for OLA's Business. This is a critical role for the growth of the organisation given the exponential expansion plans at hand Responsibilities: - Take an active role and provide valuable input to the management decisions related to fund raise, share issues, mergers and takeovers - Oversee and lead the secretarial function of a group comprising of 10 legal entities based out of various jurisdiction like India, USA, Netherlands, Singapore, etc. - Review agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points - Overall Supervision of the board and shareholders meeting including its compliance thereto - Provide legal, financial, and/or strategic advice during and outside of meetings - Ensure policies, regulatory, or statutory changes that might affect the organization are up to date, approved by the committee and explained to the concerned departments - In charge of overall applicable compliances (Companies Act/FEMA) - Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders - Liaise with external regulators and advisers such as lawyers and auditors - Create and manage action plan in response to audit observations and violations, if any - Implement processes or systems to ensure good management of the organization - Develop and oversee the systems that ensure the company complies with all applicable codes within stipulated timelines, in addition to its legal and statutory requirements - Review of annual reports from a statutory and governance point of view Experience & Skills: - 09-13 yrs. of experience as CS. - Must be a Member of Institute of Company Secretaries of India Desirable: - Must have sound knowledge of FEMA provisions/FDI Policy - Be a LLB, LLM will be an advantage - Have an experience of 09-14 years - Have strong communication skills - Excellent drafting skills - Good eye for detail - Problem solving and analytical skills - Ability multi-task and meet deadlines
