Role Description:

We are seeking a Compliance Manager with 6+ years of experience for a full-time on-site position based in Gurugram. As a Compliance Manager, you will be responsible for ensuring that the company complies with all legal and regulatory requirements applicable to NBFCs. You will oversee the implementation and monitoring of internal policies, manage audits, maintain compliance reports, and liaise with regulatory bodies. Additionally, you will collaborate with multiple departments to ensure adherence to compliance standards and mitigate risks effectively.


- Execute end-to-end process of issuance and listing of securities including CPs, NCDs, PTCs, and other debt instruments.


- Coordinate with stock exchanges, RTA, debenture trustees, merchant bankers, and internal stakeholders.


- Manage LODR compliance, including periodic and event-based filings, disclosures, and monitoring.


- Draft and review offer documents, term sheets, shareholder communications, and board- related disclosures.


- Maintain compliance registers, trackers, and documentation across regulatory frameworks.


- Ensure adherence to NBFC regulations issued by RBI and applicable corporate governance norms.


- Support audits, board committee reporting, and internal compliance reviews.


- Monitor regulatory updates and implement changes in processes and documentation.


Qualifications:


- Knowledge of regulatory frameworks and industry standards, particularly in the NBFC sector


- Experience in managing audits, risk assessments, and compliance monitoring


- Strong skills in policy development, documentation, and adherence monitoring


- Proficiency in analyzing regulatory changes and implementing necessary adjustments


- Excellent organizational, analytical, and problem-solving skills


- Ability to communicate effectively and collaborate with cross-functional teams


- Relevant certification or degree in Finance, Law, or related fields is preferred


- Proactive approach to identifying and mitigating compliance risks
