Require Whole time CS and Legal officer on board on urgent basis.

Salary as per industrial standards

1. Corporate Governance & Secretarial Duties:

- Organize and manage Board Meetings, AGMs, and Committee Meetings - including preparing notices, agendas, and minutes.

- Ensure compliance with the Companies Act, SEBI regulations, Stock Exchange requirements, and other corporate laws.

- Maintain and update statutory registers, company records, and filings with ROC (Registrar of Companies).

- Advise the Board on corporate governance best practices and directors' duties.

- Draft and vet board resolutions, annual reports, and other corporate documents.

2. Legal Compliance & Advisory:

- Draft, review, and negotiate contracts, MOUs, NDAs, and service agreements.

- Provide legal opinions and advice on corporate, labor, tax, and intellectual property matters.

- Represent the company in legal proceedings and liaise with external lawyers, regulators, and government authorities.

- Monitor changes in legislation and ensure timely compliance.

- Handle litigation management, legal notices, and dispute resolution.

- To represent directors on behalf of company in court

3. Regulatory & Statutory Compliance:

- File annual returns, financial statements, and other statutory forms.

- Ensure compliance with FEMA, Competition Act, Environment laws, and other applicable legislation.

- Act as a link between the company and regulatory bodies such as MCA, SEBI, Stock Exchanges, NCLT, and RBI.

- Support in mergers & acquisitions (M&A), due diligence, and corporate restructuring.

4. Qualifications:

- Qualified Company Secretary (CS) from ICSI.

- LLB (Bachelor of Laws) from a recognized university.

- Have handled 2-3 IPO on main board IPO

- Sound knowledge of Companies Act, 2013, Corporate Laws, SEBI regulations, and Contract Law.

- Strong drafting, negotiation, and communication skills.

- High integrity, attention to detail, and ability to work with senior stakeholders.

- Experience with listed company

- Experience with listed company

- Experience in large private companies (having turnover above 500cr atleast)

- Familiarity with compliance management software
