NVS Analytics - Senior Associate - Financial Due Diligence

Position Overview:

The Senior Associate will join the Financial Due Diligence (FDD) team, supporting private equity firms, investment banks, corporate acquirers, and strategic investors throughout the transaction lifecycle. The role focuses on buy-side and sell-side financial due diligence, Quality of Earnings (QoE) analysis, Proof of Cash, working capital assessments, and financial analysis for mergers and acquisitions.

The successful candidate will work closely with engagement managers and clients to analyze historical financial performance, identify key business drivers and risks, and deliver actionable insights that support informed investment decisions.

Key Responsibilities:

- Perform buy-side and sell-side Financial Due Diligence engagements across a variety of industries.

- Prepare Quality of Earnings (QoE) analyses by identifying and validating non-recurring, non-operating, and EBITDA normalization adjustments.

- Analyze historical financial statements, trial balances, general ledgers, and management accounts to assess earnings quality and financial performance.

- Perform revenue, gross margin, operating expense, and profitability trend analyses.

- Conduct Proof of Cash procedures by reconciling EBITDA to operating cash flows.

- Analyze Net Working Capital (NWC) trends and prepare normalized working capital analyses for purchase price adjustment mechanisms.

- Perform customer, product, service line, and geographic revenue analyses to identify concentration risks and business trends.

- Analyze monthly financial results to identify seasonality, unusual fluctuations, and key operational drivers.

- Evaluate accounting policies and identify areas that may impact transaction value or post-acquisition integration.

- Review payroll, headcount, SG&A, and operating expense trends to identify cost-saving opportunities and potential adjustments.

- Assist in analyzing debt-like items, contingent liabilities, and off-balance-sheet exposures.

- Support management interviews and prepare financial due diligence questionnaires.

- Build and maintain databooks, reconciliation schedules, and supporting analytical workpapers.

- Prepare Financial Due Diligence reports, executive summaries, and presentation materials for clients.

- Ensure all deliverables comply with NVS Analytics' quality standards and are completed within agreed timelines.

- Support business development initiatives, proposal preparation, knowledge management, and internal process improvements.

Qualifications:

To qualify, candidates should possess:

- A postgraduate degree in Finance, Accounting, Economics, Commerce, or Business Administration (CA, CPA, ACCA, CFA, MBA Finance preferred).

- 3-5 years of experience in Financial Due Diligence, Transaction Advisory Services (TAS), Quality of Earnings, Audit, Corporate Finance, or Deal Advisory.

- Experience performing buy-side and sell-side due diligence engagements for mergers, acquisitions, private equity investments, or strategic transactions.

- Strong understanding of Quality of Earnings (QoE), Proof of Cash, Net Working Capital Analysis, EBITDA Normalization, Purchase Price Adjustments, Financial Statement Analysis, Cash Flow Analysis, Revenue Recognition, and Accounting Standards (US GAAP/IFRS preferred).

- Experience working with general ledgers, trial balances, ERP systems, and large financial datasets.

- Advanced Microsoft Excel skills, including pivot tables, Power Query, advanced formulas, and financial analysis.

- Experience preparing databooks, analytical schedules, and transaction reports.

- Strong analytical, problem-solving, project management, and organizational skills.

- Excellent written and verbal communication skills with the ability to present findings clearly to clients and senior stakeholders.

- Ability to manage multiple engagements simultaneously and meet tight transaction deadlines.

- Experience in Big Four, middle-market accounting firms, transaction advisory practices, or consulting firms is highly preferred.

Preferred Certifications:

- Chartered Accountant (CA), Certified Public Accountant (CPA), Chartered Financial Analyst (CFA), ACCA, or MBA (Finance).
