Role Purpose :
The Corporate Finance professional will support execution of investment banking transactions including M&A, IPO, capital raising (equity and debt), financial advisory, and strategic transactions. The role involves financial analysis, transaction documentation, client coordination, and regulatory compliance in line with SEBI regulations.
Key Responsibilities for Corporate Finance role :
Transaction Execution :
- Assist in end-to-end execution of M&A, IPO, private equity, venture capital, and debt/equity fundraising transactions
- Support in due diligence, transaction structuring and regulatory complaince
Documentation & Regulatory :
- Prepare transaction documents including :
1. Pitch books
2. Transaction notes
3. Prospectus
- Coordinate with legal, compliance, and external advisors
- Ensure compliance with SEBI (Merchant Banking) Regulations, Companies Act, FEMA, and RBI guidelines
Client & Stakeholder Management :
- Liaise with clients, investors, lawyers, auditors, and regulators
- Support senior bankers in client meetings and regulation nuances
- Track transaction milestones and ensure timely closure
Market Research & Analysis :
- Analyze market trends, comparable transactions, and benchmarks
- Prepare internal deal notes
Key Skills & Competencies :
- Excellent understanding of corporate finance concepts
- Working knowledge of SEBI regulations and understanding of nuances, Companies Act, FEMA
- Strong Research, analytical, presentation, and communication skills
- Ability to work in a high-pressure, deadline-driven environment.
- High level of integrity, confidentiality, and attention to detail
