Role Position - Transaction Advisory

This role involves supporting high-impact M&A and cross-border transactions, focusing on both financial and legal due diligence, deal structuring, and regulatory advisory. The ideal candidate is someone with a strong foundation in corporate law and/or chartered accountancy, who thrives in a dynamic, client-facing environment.


Key Responsibilities:


- Transaction Due Diligence: Conduct legal and financial due diligence for mergers, acquisitions, and fundraisers.


- Deal Structuring: Support in designing optimal transaction structures in compliance with corporate laws, tax, FEMA, and regulatory frameworks.

- Documentation Support: Assist in drafting and reviewing transaction-related documents like Term Sheets, SPAs, SHAs, and investor presentation.

- Cross-border Advisory: Work on inbound/outbound structuring strategies and support in regulatory filings and FEMA/RBI matters.

- Valuation & Modeling: Collaborate with valuation experts and prepare business models where required.

- Client Coordination: Act as a liaison between clients, legal counsel, and financial institutions to ensure smooth transaction closure.

- Regulatory Updates: Track and interpret changes in corporate, securities, and taxation laws relevant to transaction advisory.


Candidate Skills & Qualifications:

- CA / LLB / LLM

- Dual qualification (CA + Law) preferred

- 24 years in M&A, transaction advisory, corporate legal, or investment banking roles.

- Strong understanding of the Companies Act, FEMA, Income Tax, and SEBI regulations.

- Ability to interpret and draft legal documents.

- Financial acumen for transaction analysis and modeling.

- Proficiency in MS Office (Excel, PowerPoint) and familiarity with basic financial tools.

- Strong communication and presentation skills.

- High attention to detail with a commercial mindset.

- Client-first attitude and collaborative working style.
