We are looking for a highly experienced professional with deep expertise in proxy advisory, corporate governance research, and executive remuneration analysis. The role will focus on delivering investor-centric insights, supporting voting recommendations, and evaluating board effectiveness, governance risks, and compensation structures across global markets.

The ideal candidate will bring strong exposure to stewardship, ESG/CSR frameworks, and governance best practices, along with the ability to manage complex research assignments and engage with senior stakeholders.

Key Responsibilities :

Proxy Voting & Stewardship :

- Lead end-to-end proxy voting analysis and voting recommendations for shareholder meetings across global markets

- Evaluate resolutions related to board appointments, remuneration, capital allocation, mergers, and governance practices

- Support institutional investors with stewardship insights, engagement priorities, and voting guidelines

Corporate Governance Research :

Conduct in-depth analysis of :

- Board effectiveness, independence, and committee structures

- Shareholder rights and governance frameworks

- Governance risks, controversies, and regulatory compliance

- Benchmark companies against global governance standards and best practices

Executive Remuneration & Compensation Analysis :

Analyze and evaluate executive compensation structures, including :

- Fixed pay, STI / LTI incentive plans

- Pay-for-performance alignment

- Equity-based compensation (RSUs, stock options, etc.)

- Review remuneration reports, proxy statements, and disclosures to identify red flags, misalignment, and governance concerns

- Conduct benchmarking studies and compensation comparisons across peers and markets

ESG / CSR & Sustainability Insights :

Assess CSR and ESG disclosures, including:

- Sustainability reports, BRSR, annual reports

Evaluate alignment with frameworks such as:

- GRI, SASB, TCFD, SDGs

- Integrate ESG considerations into governance and remuneration assessments

Research, Reporting & Insights :

Produce high-quality:

- Proxy reports, governance assessments, and thematic research

- Investor notes, benchmarking studies, and commentary

Develop and enhance:

- Scoring models, frameworks, and analytical methodologies

Client & Stakeholder Management :

- Lead client interactions and present governance and remuneration insights

- Act as a subject matter expert for proxy advisory and governance-related queries

- Manage multiple research projects with high quality and timely delivery

Team Leadership :

- Mentor and guide analysts on proxy voting, governance, and compensation analysis

- Drive quality control, knowledge sharing, and capability building

Required Qualifications

7+ years of experience in :

- Proxy advisory/voting research/corporate governance/executive compensation

Strong understanding of:

- Global governance frameworks and regulatory landscape

Experience with:

- Proxy statements, AGM materials, remuneration disclosures

Proven ability in:

- Client engagement and project management

Preferred Background

Experience in:

- Proxy advisory firms, ESG research firms, asset managers, or consulting firms

- Exposure to global markets (US, Europe, APAC)
