Manager/Senior Manager - Legal & Compliance - Financial Operations - LLb

Key Responsibilities:

1- Assist in drafting and reviewing documentation for new fund launches and capital raises in existing funds.

2- Support the side letter process, including:

- Drafting and reviewing side letters

- Monitoring compliance with side letter terms

- Researching historical agreements to support negotiations

3- Contribute to entity formation tasks associated with fund launches.

4- Collaborate with teams such as Investor Relations, Business Development, External Communications, and Investment Teams to:

- Create new investor or marketing materials

- Update and maintain existing materials

5- Conduct research and prepare summaries related to global trading regulations, including rules for futures, equities, and options exchanges.

Basic Qualifications:

1-Law degree with 7-12 years of relevant experience in a law firm or in-house legal team.

2- Experience in one or more of the following areas:

- Structuring and managing alternative investment funds

- Formation and compliance of mutual funds or other registered investment vehicles

- Handling public or private securities offerings (such as IPOs, private placements, or debt offerings)

- Working on corporate transactions, including drafting and negotiating LP/LLC agreements, side letters, and offering documents

3- Strong commercial and legal understanding of the investment management industry.

4- Excellent analytical, organizational, and problem-solving skills.

5- Outstanding written and verbal communication abilities, with high attention to detail.

6- Proven ability to identify, interpret, and address regulatory or compliance risks in a fast-paced environment.

Preferred Qualifications:

Familiarity with U.S. investment management laws and regulations, including:

- The Investment Advisers Act

- The U.S. Securities Act of 1933
