Role Overview:

We are looking for an experienced U.S. M&A Tax professional to work closely with a U.S.-based tax partner on sophisticated M&A and transaction-tax matters.

This is a hands-on transaction advisory role offering direct exposure to the full lifecycle of U.S. buy-side and sell-side M&A transactions, including transaction structuring, tax modeling, transaction documentation, technical research and implementation.

Key Responsibilities:

- Support U.S. M&A transactions across buy-side and sell-side engagements.

- Analyze and advise on stock and asset acquisitions, taxable and tax-free reorganizations, Section 351 transactions, F reorganizations and rollover structures.

- Assist in transaction structuring and evaluate alternative structures from a tax perspective.

- Review and provide inputs on purchase agreements and other transaction documents.

- Build and review Excel models comparing transaction structures and after-tax outcomes.

- Support Section 280G calculations and related shareholder approval processes.

- Work on QSBS/Section 1202, equity compensation and other transaction-related tax matters.

- Conduct U.S. federal income-tax research and prepare technical memoranda, issue summaries and client communications.

- Prepare transaction step plans, structure diagrams and implementation checklists.

- Support other U.S. tax advisory and research matters as required.

Candidate Profile:

- 5-8 years of relevant U.S. tax experience, with meaningful exposure to U.S. M&A tax, transaction tax or tax due diligence.

- Strong understanding of U.S. federal corporate income tax principles and M&A transaction structures.

- Experience supporting U.S.-based engagement teams or clients.

- Strong technical research, drafting and analytical capabilities.

- Strong Excel and financial/tax modeling skills.

- Excellent written and verbal communication skills.

- Comfortable working independently in a lean, partner-led and fully remote environment.

- Willingness to maintain regular working-hour overlap with the U.S. Pacific Time zone.

Preferred Background:

- Candidates currently or previously associated with Deloitte USI, EY GDS, KPMG Global Services, PwC Acceleration Center, BDO RISE, RSM US India, Grant Thornton INDUS, or similar U.S.-facing transaction-tax practices would be preferred.

- An Indian CA, U.S. CPA, Enrolled Agent, Tax LL.M. or comparable professional qualification would be advantageous.

- Exposure to Section 280G, Section 382, QSBS, E&P, stock basis, executive compensation and/or cross-border transaction analyses would be valuable.
