Manager Merger & Acquisition

Job Overview:

We are looking for an experienced Manager Merger & Acquisition to lead and manage end-to-end M&A and transaction advisory engagements. The ideal candidate will have strong expertise in M&A, transaction advisory, financial modelling, valuation, due diligence, and tax structuring, along with the ability to manage client relationships and mentor junior team members.

The role involves working closely with clients, investors, promoters, and other transaction stakeholders to deliver high-quality advisory solutions across the transaction lifecycle.

Key Responsibilities:

- Manage end-to-end M&A engagements, from transaction strategy and initial assessment through due diligence, deal execution, and closure.

- Lead and coordinate buy-side and sell-side M&A transactions, including acquisitions, divestitures, mergers, and strategic investments.

- Conduct and oversee financial due diligence, analyzing historical financial performance, quality of earnings, working capital, cash flows, debt, and key financial risks.

- Develop and review detailed financial models to support transaction analysis, business planning, scenario analysis, and investment decisions.

- Perform valuation analysis using methodologies such as DCF, comparable companies, precedent transactions, and other relevant approaches.

- Support clients in evaluating deal structures, transaction economics, synergies, and potential risks.

- Provide inputs on tax structuring and coordinate with tax advisors to evaluate tax-efficient transaction structures.

- Manage transaction documentation, analysis, presentations, reports, and other client deliverables.

- Work closely with legal, tax, financial, and commercial advisors to ensure smooth execution of transactions.

- Build and maintain strong relationships with clients, investors, promoters, management teams, and other transaction stakeholders.

- Participate in client meetings, presentations, negotiations, and deal discussions.

- Identify potential business opportunities and contribute to business development, proposals, and pitch presentations.

- Manage multiple engagements simultaneously while ensuring quality, timelines, and client expectations are met.

- Mentor, guide, and review the work of analysts, associates, and junior team members.

- Develop the team's technical capabilities and ensure adherence to professional and quality standards.

- Stay updated on M&A trends, industry developments, regulatory changes, and transaction market dynamics.

Required Qualifications & Experience:

- Bachelor's degree in Finance, Commerce, Economics, Business, or a related discipline.

- Professional qualifications such as CA, CFA, MBA (Finance), or equivalent would be preferred.

- Relevant experience in M&A, Transaction Advisory, Investment Banking, Corporate Finance, Financial Due Diligence, or Valuation.

- Strong hands-on experience in financial modelling and valuation.

- Good understanding of M&A transaction processes and due diligence.

- Experience with tax structuring and transaction structuring is highly desirable.

- Demonstrated experience in managing client engagements and leading transaction workstreams.

- Strong analytical and financial problem-solving capabilities.

- Experience in managing and mentoring junior team members.
