Manager - M&A/Corporate Finance Role

JOB PURPOSE :

- To raise funds for Holding companies to meet its equity commitments and debt service requirements

- To manage the liabilities at the holding companies

- To oversee underlying operating / projects companies and report to stakeholders of the holding companies

- To support various operating, project companies, business development, M&A and other corporate services being part of holding companies

ACCOUNTABILITIES & RESPONSIBILITIES :

ACTIVITIES :

1. To get funds at minimum cost & maximum leverage with least restriction on the business - To understand business funds requirement and to discuss proposal with bank & financial institution

- Structuring transaction in compliant manner and negotiating terms & documents thereof

- To ensure compliance with condition & disbursement of loan

2. To manage liabilities at the holding companies - To manage debt and guarantee portfolio

- To maintain compliance with the relevant loan documents

- To ensure interest payments are made on time

3. To oversee underlying operating / projects companies and report to stakeholders of the holding companies - To monitor developments in the underlying companies

- To prepare detailed MIS / updates for the lenders / guarantee beneficiaries / other stakeholders

- To renegotiate loan covenants / restrictions on underlying companies depending on the business and operational developments

4. To support the transaction which are laid by M&A team and new projects - Providing guarantee / comforts which are required from holding companies

- To ensure various restructuring required by the businesses is done appropriately

- Assisting corporate services like corporate Accounts / Taxation/ Compliance from the perspective of overall CFO's function
