- Qualified Company Secretary (Must) & Law-degree (Preferred) - Compliance under the Companies Act and Secretarial Standards - Compliance under SEBI Act, Listing Regulations and other SEBI rules and regulations - End to end compliance with Insider Trading Regulations - Compliance with Takeover and ESOP Regulations - Hands on experience in FEMA Compliances including filing of annual forms and other documents - Fund raising exercise like commercial papers, NCDs etc. - Analysis of various amendments/ circulars and its implication on the Company - Preparing Notice and Agenda of Board and Committee meetings - Convening of Board and General Meetings - Drafting and preparation of Annual Report - Issuing securities under Companies Act and ICDR - ROC related compliances - Liasoning with Stock Exchanges and other regulatory authorities, vendors/ service provider - Proactively updation, maintenance and implementation of organizational policies in line applicable law, regulations and amendments. - Totally listed/ majority of the experience in listed Company - Mid - large cap companies. - Experience in managing Board meeting, regulatory disclosures, and a strong background in corporate and strategic transactions. - Good communication and stakeholder management skills
