About the Role: - We are seeking a highly analytical and driven professional to join our Valuations Group as a Manager. - The ideal candidate will bring strong technical expertise in business valuations and financial modeling, along with a deep understanding of key valuation methodologies. - This role offers the opportunity to work on a wide array of engagements including M&A advisory, regulatory valuations, internal corporate decision-making, financial reporting, and dispute resolution. - You will interact closely with clients, stakeholders, and cross-functional teams to deliver high-quality valuation insights that guide strategic business decisions. Key Responsibilities: - Lead end-to-end execution of valuation assignments for businesses, shares, intangible assets (IP, brands, customer relationships, etc.), and tangible assets. - Comparable Companies & Transactions Multiples - Net Asset Value - Precedent Transactions - Option Pricing Models (Black-Scholes, Binomial Tree) - Analyze historical and projected financials, industry trends, and economic factors to determine accurate enterprise or asset values. - Calculate Weighted Average Cost of Capital (WACC) and understand capital structure nuances. - Interface with clients, legal advisors, auditors, and internal leadership to gather inputs and present deliverables. - Support clients in decision-making related to: - Mergers & Acquisitions - Joint Ventures - Buy-Sell Agreements - Fairness Opinions - Regulatory or Tax-related Valuations (e.g., FEMA, Income Tax, SEBI, IFRS/IND AS) - Participate in client meetings, presentations, and Q&A sessions as the valuation subject-matter expert. - Prepare and review detailed valuation reports, models, presentations, and supporting schedules. - Ensure all documentation meets internal standards and regulatory compliance. - Conduct thorough quality reviews of junior team members work for accuracy and consistency. - Mentor and guide associates/analysts on technical concepts, modeling, and client interaction. - Help in training initiatives, knowledge-sharing sessions, and process improvements within the team. - Collaborate with cross-functional teams (e.g., tax, legal, M&A advisory) to deliver integrated solutions. Educational Background: - CA, CFA (preferred), MBA (Finance), or other finance/accounting-related qualifications. - Good academic track record from reputable institutions. Technical Proficiency: - In-depth understanding of valuation techniques and financial modeling. - Strong command over Microsoft Excel (advanced functions, scenario analysis, macros a plus). - Proficient in PowerPoint and Word for client deliverables. - Exposure to financial data tools like Bloomberg, CapitalIQ, Capitaline, or Refinitiv is an advantage. - Familiarity with accounting standards (IFRS, IND AS, US GAAP) related to fair value measurement
