Manager - Business Valuation & Portfolio Valuations

Location: Mumbai (Bombay)

Experience: Minimum 4 years

Qualification: Chartered Accountant (CA) or CFA (mandatory)

Role Overview:

The Assistant Manager / Manager - Business Valuation & Portfolio Valuations will be responsible for end-to-end execution and review of valuation engagements, primarily focusing on portfolio valuations for PE/VC funds, financial reporting valuations, and transaction-related valuations. The role involves close interaction with clients, auditors, fund managers, and internal leadership.

Key Responsibilities:

1. Valuation & Technical Execution:

- Lead and execute business valuation and portfolio valuation assignments for PE/VC funds, corporates, and financial institutions.

- Perform valuations for:

1. Fair Value reporting (Ind AS / IFRS / US GAAP)

2. ESOPs and share-based payments

3. Purchase Price Allocation (PPA)

4. M&A, fund raising, and strategic transactions

5. Impairment testing and complex financial instruments

- Build and review valuation models using DCF, Comparable Companies, Comparable Transactions, NAV, Option Pricing Models, etc.

- Independently analyze financial statements, projections, cap tables, term sheets, and shareholder agreements.

2. Client & Stakeholder Management:

- Act as the primary point of contact for clients on assigned engagements.

- Interact with PE/VC fund managers, CFOs, investment teams, and statutory auditors.

- Handle technical discussions and justification of valuation assumptions and conclusions.

- Manage multiple engagements simultaneously while ensuring quality and timelines.

3. Team Leadership & Review:

- Guide and review work performed by junior team members.

- Ensure compliance with internal quality standards, valuation best practices, and regulatory guidelines.

- Support seniors/partners in proposal drafting, scope discussions, and client pitches.

4. Research & Knowledge Building:

- Track developments in valuation standards, accounting standards, and regulatory guidelines.

- Conduct sector and market research to support valuation assumptions.

- Contribute to internal knowledge sharing and process improvements.

Required Skills & Experience:

1. Mandatory Requirements:

- Qualified CA or CFA.

- Minimum 4 years of relevant experience in Business Valuation / Portfolio Valuations.

- Prior experience with valuation firms, Big 4, consulting firms, or PE/VC portfolio valuation teams.

2. Technical Skills:

- Strong understanding of:

1. Valuation methodologies and financial modeling.

2. Ind AS / IFRS valuation requirements.

3. Fair value measurement principles.

- Advanced proficiency in MS Excel and PowerPoint.

- Experience in reviewing valuation reports and documentation.

3. Soft Skills:

- Strong analytical and problem-solving skills.

- Excellent written and verbal communication.

- Client-facing confidence and professional maturity.

- Ability to work under tight deadlines and manage multiple priorities.
