Job Title: Manager / Associate Financial Due Diligence (FDD)
Department: Transaction Advisory / Due Diligence

About the Role:
We are seeking a detail-oriented Financial Due Diligence professional to conduct comprehensive financial and business analysis of companies undergoing IPO, fundraising, M&A, or other capital market transactions. The role involves assessing financial health, identifying risks, and validating data integrity to support merchant banking mandates and investor confidence.
Key Responsibilities:
- Conduct end-to-end financial due diligence for companies planning IPOs (Mainboard/SME), fundraising, mergers, acquisitions, or restructuring.
- Review and analyze historical financial statements, quality of earnings, working capital trends, and cash flow patterns.
- Identify red flags such as revenue recognition issues, related party transactions, contingent liabilities, off-balance-sheet items, and accounting irregularities.
- Verify and reconcile financial data with statutory filings, tax returns, bank statements, and audited financials.
- Assess internal controls, accounting policies, and compliance with applicable accounting standards (Ind AS/IFRS/GAAP).
- Prepare detailed FDD reports highlighting key findings, risks, and recommendations for management and merchant bankers.
- Coordinate with statutory auditors, tax consultants, legal teams, and company management to gather and validate information.
- Support drafting of financial sections of offer documents (DRHP/RHP) including restated financials, MD&A, and risk factor disclosures.
- Analyze related party transactions, group structures, and corporate governance practices.
- Evaluate debt structure, contingent liabilities, litigation exposure, and off-book commitments.
- Benchmark financial performance against industry peers and assess sustainability of earnings.
- Assist in valuation inputs and deal structuring based on due diligence findings.
- Ensure due diligence process complies with SEBI ICDR Regulations and other applicable regulatory frameworks.
Key Skills & Competencies:
- Strong technical knowledge of accounting standards (Ind AS/IFRS), financial statement analysis, and audit methodologies.
- Proficiency in identifying financial risks, discrepancies, and quality of earnings issues.
- Strong analytical and investigative mindset with attention to detail.
- Excellent report writing and presentation skills.
- Ability to manage multiple engagements and work under tight deadlines.
- Proficiency in MS Excel (financial modeling), PowerPoint, and due diligence/audit tools.
- Working knowledge of SEBI ICDR Regulations, Companies Act, and Income Tax provisions is preferred.
Qualifications & Experience:
- Chartered Accountant (CA) mandatory/highly preferred; CFA/MBA (Finance) candidates also considered.
- 2-8 years of experience in Financial Due Diligence, Statutory Audit, Transaction Advisory, or Merchant Banking.
- Prior experience with Big 4/mid-size audit firms, investment banks, or transaction advisory firms is an advantage.
- Experience handling IPO-related FDD assignments is highly desirable.
Compensation:
- As per industry standards, commensurate with experience and qualification.
