Description:

Position: Legal - Manager/ AVP

Location: Mumbai

Key Role Requirements

Education: LLB / LLM

Experience:

- 4 - 8+ years of post-qualification experience (PQE) in Banking, NBFC, or Financial Services, with strong exposure to Supply Chain Finance, co-lending structures, and bilateral loan documentation. The role requires strong drafting and negotiation skills, familiarity with lending products, and a solid understanding of applicable laws and regulatory guidelines.

Required Qualifications & Skills

Hands-on experience in:


- Supply Chain Finance documentation


- Co-lending structures and agreements


- Bilateral loan and security documentation


- Review of Business Correspondent (BC) agreements and DSA agreements

Strong knowledge of relevant laws, including provisions under:


- Companies Act


- Indian Contract Act


- Sale of Goods Act


- Transfer of Property Act


- Principles of Hypothecation


- Insolvency and Bankruptcy Code (IBC)


- SARFAESI Act

- Good understanding of RBI Master Directions applicable to NBFCs, including outsourcing guidelines and co-lending guidelines.

- Strong legal drafting, negotiation, research, and analytical skills.

- Excellent communication skills, attention to detail, and a technology-friendly mindset.

Key Responsibilities:

- Draft, review, vet, and negotiate:


- Business Correspondent (BC) agreements, DSA agreements, and related onboarding documentation


- Facility agreements (secured/unsecured)


- Co-lending agreements and service level agreements (SLAs)


- Hypothecation deeds, guarantees, Demand Promissory Notes (DPNs), and Non-Disclosure Agreements (NDAs)


- Corporate authorizations, board resolutions, and ancillary documentation

- Review constitutional documents and authorizations for lending transactions.

- Conduct legal research and monitor regulatory developments impacting NBFC and lending operations.

- Coordinate with external counsel, law firms, and consultants for transaction-related legal support.

- Support maintenance of legal documentation systems and records.
