Position Title : Senior Manager- Secretarial & Legal  Experience : 5 to 7 yrs  Skills Required :   Educational Qualification/Certification Criteri a: Mandatory: ACS & Degree in Law Advantage : Any Finance degrees/Diploma in Finance Post Qualification   Experience : 5 years post qualification in a Listed Company Preferred Industry   Experience: Mandatory: Experience and knowledge on matters of Compliance and regulations pertaining to all the areas detailed above.   Advantage :   Experience and exposure to Joint Ventures, Investments and International business, having worked as a Company Secretary of a medium size listed Company. Primary (Mandatory) Skills Criteria: The person should be a Company Secretary, having worked with a large Corporate House, preferably based out of Maharashtra. The person should be knowledgeable about the various regulations and laws detailed above. The candidate needs to have excellent communication and writing skills.   - Secondary (Advantage) Skills Criteria: Knowledge of and prior exposure to Joint Ventures, Investments and international business, ESOPs, foreign subsidiaries would be preferred and having worked with a listed Company Gender Criteria (if applicable) : Not applicable Additional Information (if any) : We are looking for an individual that is meticulous and pays significant attention to detail and understands the seriousness of compliance & corporate governance.  - We would want a stable and trustworthy individual that will grow with the group and have the requisite knowledge to meet the Company's fast growing requirements.   - Candidates that have changed jobs frequently in the past need to be avoided   - This position would be for Mahindra Holidays & Resorts India Ltd., a Mahindra Group Company.  Job Summary :   - The Candidate would be responsible for the entire compliance with all Company law, SEBI Regulations, other statutory legislation, compliance and regulatory matters.  - Ensure all - Listing- compliance are completed as per SEBI guidelines   - Call for and organize various Board Meetings, Committee Meetings, Shareholders- Meetings etc., including for all subsidiaries   - Comply with applicable statutes related to acquisition / takeover of companies in India and overseas   - Ensure compliance with applicable statutes pertaining to amalgamations and mergers including carrying out due diligence activities   - Manage the entire process of employee stock options plan   - Ensure timely filings with ROC / Ministry of Corporate Affairs under Companies Act   - Maintain Statutory Registers and other requirements / documentation under various statutes, secretarial standards etc.   - Comply with various regulations regarding all our Indian Subsidiaries   - Liaise with local service providers and ensure compliance under local laws relevant to secretarial functions for overseas companies   - Liaise with Group Companies on various secretarial and corporate matters  - Liaise with external secretarial professionals for various filings, queries, advice etc. and with stock exchanges, ROC's & SEBI   - Respond to various queries from shareholders received from various sources and resolve them within stipulated timelines   - Remain up-breast of all amendments and regulatory changes and comply with them accordingly   - Ensure compliance / upload under the e-portal and keep it updated at all times  - Regulatory and Legal compliance   - The candidate would need to be conversant with stock exchange regulations, clause 49 requirements and RBI regulations, SEBI regulations, Income Tax, Service Tax, FEMA, Company Law matters,
