Role Overview:
We are hiring for a Legal Counsel role with a leading SEBI-registered Category II Alternative Investment Fund (AIF), focused on real estate investments. This is a high-visibility position reporting directly to the Founder & Managing Partner. The role combines real estate title due diligence and transaction documentation, with exposure to fund operations and investor documentation.
Key Responsibilities:
- Lead end-to-end title due diligence for real estate investments (ownership history, chain of title, statutory approvals, encumbrances).
- Draft, review, and negotiate investment agreements, JV/JDA agreements, escrow arrangements, and fund documentation.
- Coordinate with external law firms and title search agencies; vet their work for accuracy and commercial alignment.
- Advise on tax-efficient investment structuring (capital gains, stamp duty, GST, withholding tax).
- Ensure SPV-level compliance (RoC filings, governance, constitutional documents).
- Track and ensure compliance with SEBI AIF regulations, RERA, and other applicable laws.
- Manage documentation for exits, refinancing, and restructuring transactions.
Eligibility Criteria:
- LLB from a reputed institute (LLM preferred).
- 8-10 years of relevant experience, with at least 5 years in real estate legal (title + documentation).
- Hands-on experience in title investigations and drafting transaction documents in-house.
- Strong knowledge of tax laws, escrow mechanisms, SPV compliance, SEBI AIF regulations, and RERA.
- Ability to work independently in a lean, founder-led environment with an ownership mindset.
